Leader, Mergers & Acquisitions Duties: M&A: Lead and direct all activities relating the acquisition or divestiture of businesses by Nationwide, including the identification and prioritization of acquisition and divestiture targets, the development of acquisition and divestiture strategies, the execution of the applicable M&A transaction, the development and implementation of transition / integration strategies for the business and management of relationships with senior leaders of investment banking partners and other outside advisors. Capital Markets: Co-lead and direct all engagements with the investment marketplace to efficiently and optimally raise annually up to $1 Billion in capital and execute structured finance strategies, including the management of investment banking relationships, and execution of investor meetings with investment bankers and Corporate Leaders. For each of the M&A and Capital Markets transactions, accountable for the optimization of the transaction structure, the identification and mitigation of transactional and other risks, operational readiness and collaboration with the Business Unit Leadership and Corporate Leadership on transaction strategy, analysis and execution. Transaction Management: Lead / drive the execution of M&A transactions through a cross-functional team of corporate experts (HR, Controllership, IT, Legal, ERM, Real Estate, Tax, Communications and Corp. Governance), Business Unit Leaders, Corporate Leaders, investment bankers and other third party advisors. Negotiation: Lead the negotiation of all material terms and conditions relating to M&A, corporate finance and structured finance transactions, including purchase price, indemnification, pre- and post-closing obligations and covenants, representations and warranties, transition services, and financing arrangements; drive all activities to consummate transactions. Financial Assessment: Lead the execution of the financial assessment and analysis of target opportunities with up to $1 Billion in value, including identification of key financial and operational drivers of profitability, identification of key financial and business risks, development of effective and efficient risk mitigation strategies, valuation range with sensitivity analysis and value proposition of transaction. M&A Strategy: Lead the development of acquisition and divestiture strategies in partnership with Corporate Strategy leadership and Business Unit leadership, including identification of target markets, development of selection filters and operational needs and priorities. Equity Research: Lead and direct investment banking-like quantitative and qualitative research and analysis of potential M&A targets; present findings of research and analysis and recommendations to senior Business Unit leaders and Corporate leaders for transactional approvals; lead the collection and evaluation of market comps and related market data. Diligence and Integration Planning: Direct due diligence review (acquisitions and divestitures) and multi-functional, integration strategy and implementation through a cross-functional team (see above), including risk analytics and the development of risk-mitigation strategies, the quantification of risks of acquisition targets, identification of the impact of risks on purchase price, identification and quantification of post-closing transition/integration resource requirements and timing and transition / integration monitoring in collaboration with Business Unit leadership team. Capital Needs Analysis: Co-lead the evaluation of capital markets financing options; drive the execution of capitalraising and risk-mitigating transactions by directing cross-functional team involving Tax, Controllership, Legal, ERM, Rating Agencies, Corporate Communication, Corporate Governance and Executive Leadership.

Qualifications: B.S. - Finance or equivalent Preferred - M.B.A., J.D. or equivalent. CFA or CPA. 10 years of functional, 4 years of People / Project Management.
