Senior Counsel - Strategic Transactions Duties: Negotiate consulting, licensing and technology transactions with domestic and global suppliers with a focus on limiting liability and protecting confidentiality, intellectual property and privacy rights. Assist in managing intellectual property portfolio, including proper internal identification, valuation and transfer of IP, including patents, and management of outside trademark and patent prosecution counsel. Negotiate major business process outsourcing arrangements with both domestic and international service providers with a focus on achieving enforceability of service providers performance and service level obligations. Navigate environment effectively to advise and influence outcomes, including when working with senior management. Maintain and update a set of approved contract templates for use by Supply Chain operations. Serve as a subject matter expert in connection with IT related contracting efforts, intellectual property matters, including in connection with commercial contracts, mergers and acquisitions, and IP-related litigation matters. Create and present training materials on contracting and intellectual property matters to all levels of clients. Work collaboratively with cross-functional teams to improve processes, find creative solutions to problems and manage large projects. Effectively matrix with critical business partners outside of the legal department including compliance, privacy, information technology, operations and corporate/business development. Negotiate resolutions to disputed matters consistent with objectives. Manage outside counsel on discrete matters as may be required. Share knowledge and skills in areas of subject matter expertise with other legal counsel as requested, in keeping with our collegial atmosphere. Qualifications: J.D. Degree from an accredited school of law. Current license to practice law. 5+ years experience preferred as a commercial transactional attorney in either a corporate or law firm setting; relevant employment within a managed care or financial services setting a plus. Ability to draft and negotiate outsourcing, vendor and consulting agreements. Demonstrate proficiency in handling information technology contracting issues. Experience in negotiation global contracts. Demonstrate proficiency in handling IP contracting issues, patent applications and trademark registrations. Ability to prioritize and multi-task in an efficient manner. Proven ability to identify and mitigate legal and business risks in commercial transactions. Excellent verbal and written communication skills and demonstrated ability to influence and negotiate successfully. Demonstrated track record in establishing client confidence and personal credibility. Desire to learn new areas of practice and develop subject matter expertise in areas of law relevant to industry and market position.
