Corporate Counsel Products and Services Duties: Reports to the Senior Corporate Counsel, Products and Services and will assist the Senior Corporate Counsel in advising clients on various legal risks and other issues related to licensing in or procuring third parties components, services or technologies, including Open Source Software, for Products and Services, consulting or professional services agreements, strategic alliances or development partnerships, product marketing, and developing processes and agreement templates for Products and Services. Diligent and proactive, will require excellent business judgment and strategic thinking, along with the ability to work independently as well as collaboratively and flexibly in a collegial, fast-paced team environment. Review, draft and negotiate software licenses (including evaluation and beta licenses), technology agreements, consulting and development agreements, strategic alliances and other partnership agreements that will provide third-party components (including Open Source Software) for Products and Services. Perform due diligence for all vendors, suppliers, contractors who perform services for Products and Services. Perform due diligence to ensure compliance with third-party agreements who provide technologies, components or expertise for Products and Services, including inbound licenses or OEM contracts. Support the continuous improvement of standard form agreements, policies and processes concerning protection of intellectual property, data privacy and security. Support M&A, investments or strategic licensing activities, including due diligence review of contracts and intellectual property assets, and advising on transaction structure, execution and integration matters. Requirements: J.D. degree with excellent academic credentials. CA Bar strongly preferred. 5+ full years practicing law (in well-regarded law firm(s) plus in-house experience preferred). Exceptional legal capabilities and judgment. Experience and knowledge in licensing of third party components or technologies for software products and services, intellectual property matters, open source licenses, privacy, security issues, export control and contract laws. Experience in the software or SaaS industry highly desirable. Expertise in drafting and negotiating a variety of contracts for a wide range of business transactions (drafting skills must include demonstrated ability to successfully work with attention to detailed contractual languages related to technology). Be a proven team player and working in a fast moving, entrepreneurial environment. Demonstrated ability to successfully work on lead teams including both attorneys and business executives to solve complex legal issues and recommended solutions. Strong organizational skills and the ability to manage multiple simultaneous projects with deadlines. Ability to operate independently for most issues, with some guidance. Strong communication skills, both verbally and in writing, capable of interacting comfortably with senior leaders in the Products group. Ability to work under pressure with a sense of humor.
