Senior Corporate and Information Technology Counsel Duties: Work with the Information Technology and procurement departments, plant operations, and other groups in negotiation of sophisticated commercial agreements, as well as take an active role in M&A transactions. responsible for managing numerous transactions, working independently. Valued member of legal and IT teams. Reports to SVP, General Counsel & Administration, with a dotted line to SVP and Chief Information Officer. Contract Review for holding and operating company IT contracts, including contracts for software, hardware, SaaS, network, data center hosting services, consulting services and outsourcing. IT Contract Negotiation. Contract strategy / ongoing updates to deal sheet template of preferred terms. Consolidation of contracts across entities while still enabling spin-offs and divestitures of operating companies. M&A - Assist with M&A diligence and integration of transactions. IT Due Diligence including reviews of targets contracts. Oversee obtaining of consents. Draft TSAs. TSA management (termination notification). Vendor contract adherence. Secondary/back-up on non-IT agreements. Ensure that transactions are sound and comply with the Company's policies and all applicable laws, rules, and regulations. Identifies and analyzes more complex or novel matters; develops conclusions, makes recommendations, and provides reliable advice. Works directly with business clients and develops an understanding of business unit needs and products. Provide advice, counsel and training on contract law. Liaise with other attorneys to provide or obtain specialized advice. Prepare routine or specialized reports as requested. Perform other job functions as assigned.

Requirements: Four year college degree (excellent academic credentials). J.D. degree (excellent academic credentials) from an accredited law school and Missouri State Bar certification. 5+ years legal experience with a law firm and/or in-house company (preferred) with experience working with contracts and other complex legal documents.Strong verbal and written communication skills, effective negotiation skills. Must be able to demonstrate ability to balance business expectations with compliance with the company's policies and preferences through negotiation and appropriate escalation.
