Securities Attorney Duties: Reports to the Assistant General Counsel, Corporate & Finance. Responsible for securities law compliance, advising on financings and administering the corporate secretary functions for MPC and its sponsored publicly-traded partnership, MPLX. Provide support on securities related matters, including drafting and reviewing SEC filings, Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, Registration Statements and Section 16 filings; Take the lead on preparing executive compensation disclosures; Analyze corporate governance requirements as found in board and committee charters, securities statutes and regulations and stock exchange rules, and prepare board and committee materials in accordance with such requirements; Coordinate aspects of Sarbanes Oxley and Dodd Frank compliance; Provide backup support on financing activities; Serve on project teams in merger and acquisition context; Assist with the administration of subsidiary entities; Develop and implement preventive law training programs, conduct presentations and participate in other activities to educate Company officers and employees as to securities laws and Company policies. Qualifications: J.D. Degree, licensed to practice law in the U.S. and either admitted to practice in Ohio or eligible for corporate counsel practice in Ohio. 5+ years of legal experience with a focus on securities laws. Strong preference for prior in-house public company service advising on corporate securities and governance matters or prior SEC experience. Meticulousness in drafting and strong overall communication skills are a must. Closing Date: March 30, 2015
