Assistant General Counsel- Cards (Payments) The candidate will report to the Associate General Counsel in Global Cards primarily supporting company Enterprise Payment Solutions, a business unit in the Global Cards organization. Will provide support for all legal issues related to emerging payment initiatives arising in Global Cards, including the negotiation of contracts with strategic third parties. Also provide legal support related to all of company's payment network relationships. In that capacity, will review issues arising under payment network rules and will draft, review and negotiate agreements with all the payment networks. Also provide legal guidance involving various merchant funded offer programs, analyzing legal issues relevant to the structuring and launch of these programs. Advise on other payments related programs and transactions that arise from the company Enterprise Payment Solutions business unit within Global Cards. The role will require close coordination with the company Enterprise Payment Solutions business, other members of the Global Cards Legal Team and other functions at company, including Compliance, AML, Risk, and Information Security.

The candidate should possess specific experience dealing with payments regulation and payment networks. Law degree and authority to practice law in-house in the State of New York required. 5 years prior legal experience dealing with payments related legal issues also required. Experience drafting and negotiating complex contracts required. Experience with major payment network rules and processes is a plus. Experience with emerging payment products and new payment standards/concepts such as tokenization, HCE, TSM, PSPs, MOR models and Digital Wallet Operators is a significant plus. Must also have experience supporting the development of new products, especially in the digital space. Experience drafting/negotiating card issuing agreements and related optional services agreements is a plus. Experience drafting and negotiating IP and technology related contracts would be useful. Data privacy expertise, especially with respect to the financial services industry (e.g. GLBA, FTC guidance, CFPB guidance, state laws and regulations) would be useful. Excellent drafting and negotiation skills will be necessary because the position will often involve negotiating agreements with very sophisticated counterparties, including many parties outside of the traditional financial services industry. Should be comfortable addressing novel legal issues on a regular basis and working diligently to find solutions to those issues. Understanding of the end to end process involved in credit card issuing, merchant acquiring, and credit card transaction authorization and settlement is a significant plus. Understanding of security, third party oversight and service level requirements of financial institutions would be useful. Familiarity with BSA/AML requirements applicable to new payment products would be useful.
