Managing Counsel The candidate will be part of the Corporate Transactions group within Legal, and advise on a variety of matters handled by that group, including to securities and corporate finance transactions and public company reporting, and to a lesser extent, secured and unsecured lending, real estate transactions, corporate governance, affiliate transactions, and vendor/outsourcing transactions. Will not only oversee and manage transactions, but also interface with business groups to advise on strategy and compliance. Will also be expected to keep clients abreast of legal developments of relevance and help clients implement measures necessary to comply with new laws and regulations. Advise on and manage Treasury transactions and projects. Manage, from a legal perspective, and advise with respect to: public and private unsecured debt offerings in the U.S., Europe and Japan; public and private asset-backed securitizations; syndicated and bilateral unsecured credit facilities and loans; investor relations matters; derivatives transactions; other Treasury and finance and accounting-related projects and transactions. Advise clients on development and implementation of measures and policies necessary to comply with securities and derivatives laws and regulations, as well as other financial institution regulatory matters. Assist Managing Counsel in advising with respect to broker-dealer legal issues. Design and implement training for client groups with respect to securities, corporate finance, derivatives and investor relations. Advise with respect to public company reporting and other regulatory and stock exchange requirements. Review and advise with respect to periodic reports in the United States, EU and Japan. Advise with respect to other regulatory and stock exchange requirements. Advise with respect to securitization-related periodic filings and securitization-related compliance matters. Advise on and manage transactions and projects in one or more other practice groups, including: Dealer Lending, Dealer Products and Commercial Finance; Advise with respect to working capital, wholesale, real estate secured lending transactions. Advise with respect to dealer agreements and matters relating to retail / lease portfolio. Advise with respect to board and shareholder matters, affiliate agreements and intercompany lending transactions. Advise with respect to vendor/outsourcing transactions.

The candidate should have J.D. from accredited law school in the United States. Must be admitted to the CA, NY or TX bar, and in good standing. Should have 7-10 years of experience post law school, with 3-4 years experience with a major law firm. In-house legal department experience helpful. Ideally, should also will have experience in one or more of the other areas handled by the Corporate Transactions group, and the ability and desire to develop expertise in areas where the attorney lacks experience. Strong written and communication skills are needed. Must have a strong background in U.S. securities law and corporate finance. Should have the ability to interface effectively and build and maintain strong relationships across multiple business units. Must have ability to prioritize among competing and multiple projects and priorities with minimal direction.
