Virginia - Transaction Advisory Services Senior - Transaction Tax

McLean VA Transaction Advisory Services Senior - Transaction Tax - M&A
The candidate will serve as a member of multiple client engagement teams, participating in due diligence and structuring engagements related to transactions that private equity and strategic corporate entities pursue. Will perform due diligence projects to provide a thorough review of corporate tax returns and financials needed to evaluate and calculate potential tax exposures. Review, assess, and advise clients regarding the tax computations reflected in their financial models, and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction.

The candidate should have a Bachelor's degree and 2 years of related work experience OR a Graduate degree and 1-2 years of related work experience. An accounting major is preferred OR a Master's degree in accounting, MST or J.D./LL.M. would be preferred. Certification as a CPA, Enrolled Agent or Attorney preferred. Must have 2+ years of relevant tax experience. Tax compliance experience preparing or reviewing business tax returns preferred. Must be willing and able to travel, when necessary.

The candidate will design, implement and direct the companies' tax strategy, including business operations and legal entity structuring, planning vehicles. Forecast annual effective tax rate and cash tax obligations. Review tax implications of new transactions, including contracts, business ventures, M&A tax due diligence, evaluation, planning and implementation. Manage Federal, State, Local and International income tax compliance. Oversee all federal and state income tax accounting with comprehensive understanding of FAS 109 and FIN 48. Provide recommendations to optimize tax structures consistent with business needs and developments. Analyze and review appropriate response to federal and regulatory taxing authorities. Prepare and review income tax disclosures for public filings. Ensure compliance with Sarbanes Oxley. Provide leadership, strategic direction and career advancement opportunities to large staff. Lead a team of diverse professionals responsible for collaborative strategizing, driving, and supporting global tax objectives to ensure regulatory compliance and commercial competitiveness. Interact with administrative and business operations throughout the company and are responsive to all levels of management. Participates with tax executives through peer networks to elevate performance and professional standards across the broader tax community. Develop, collaborate, and leverage internal and external relationships to facilitate financial and commercial objectives. Assess and mitigate tax risk and determine action regarding uncertain global tax rules and application, and changing regulatory landscape. Encompass global tax administration, including compliance, tax related financial reporting, corporate tax policy, planning, advocacy and advising.

The candidate should have a Bachelor's degree with a major in Accounting and CPA. Master's in Tax or Tax Law is required. J.D. degree in Tax Law is preferred. Must have 15+ years of experience in public accounting and corporate tax accounting with specific responsibilities in international tax and treasury functions. Experience analyzing tax implications of mergers and acquisitions is required. Experience in complex Treasury functions is needed.
