Employment Counsel

Portland ME Employment Counsel The candidate responsibilities will include: Work directly with General Counsel and other attorneys, paralegals, and support staff in providing legal advice and risk mitigation across a broad range of employment legal matters (employee relations, terminations, discipline, wage and hour compliance and disputes, investigations, leaves of absence, employment-related agreements/documents, harassment/discrimination issues, and disability/reasonable accommodations issues). Provide legal advice and service to management and Human Resource professionals on employment practices and compliance-related matters. Utilize knowledge of the law and experience to analyze facts and situations to effectively assess risk and make recommendations that are in the best interest of the Company. Provide employment law support for HR internal investigations, including partnering on strategy and witness interviews. Manage and oversee outside counsel (including global) handling employment litigation matters. Support and hold/preservation processes regarding employment-related legal matters, including drafting of legal hold notices and related communications. Counsel and make recommendations regarding responses to employment-related subpoenas. Represent company in employment matters in front of various federal, state and/or local agencies, as well as in response to attorney demand letters. Make recommendations as to action needed, including recommendations on discipline, in connection with HR investigations. Monitor legislative developments to ensure continued compliance with national, state, and local employment labor laws and regulations. Work with the compliance team to manage the Companys Ethics and Compliance hotline. Continuously develop understanding of legal risks and advise business stakeholders accurately of legal and other risks associated with proposed activities. Must have JD degree from an ABA-accredited law school and current bar membership in at least one US state is required. Should preferably have 10+ years combined full-time experience in labor and employment law with a top-tier law firm and in-house environment. Must have excellent knowledge of federal and state employment laws and regulations (including ADA, ADEA, FMLA, FLSA, etc.). Counsel- Corporate And Securities

Portland ME Counsel- Corporate and Securities DUTIES: Help prepare SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements and Section 16 filings. Assist with disclosure committee process and ensure compliance with Nasdaq listing rules and requirements. Assist in the coordination of board and committee meetings and provide legal support and governance advice on matters relating to board and committee best practices. Support Investor Relations and Communications teams, including drafting and reviewing press releases, earnings releases, investor presentations and other materials, advise on Regulation FD and address other analyst, media and communication matters. Assist and coordinate with equity administration matters. Provide legal support on strategic commercial transactions and acquisitions. Support business leaders, colleagues, and other stakeholders to recognize and manage risks, employ risk-mitigation strategies, negotiate strategic agreements, advice on regulatory and contractual compliance, and assist with operational matters. Present legal advice and data in a manner that supports accurate and timely decisions concerning the category and business strategy. Continuously develop understanding of legal risks and advise business stakeholders accurately of legal and other risks associated with proposed activities.

QUALIFICATIONS: JD Degree from an ABA-accredited law school and current bar membership in at least one US state is required. 6+ years of securities and corporate law experience. Large law firm and previous in-house experience preferred. Publicly-traded global company, and animal health industry a plus. Excellent interpersonal and communication skills and experience in dealing with people at all levels inside and outside of a company or firm and proven relationship building skills. Goal and process oriented, with a demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner. Excellent communication skills, both oral and written. Team player with passion, energy and commitment. Excellent judgment and ability to resolve complex issues effectively. Strong analytical, negotiation, and drafting skills.
