Corporate Attorney

Omaha NE Corporate Attorney The candidate will be responsible for providing legal counsel to the company on a wide range of legal issues. Manages and advises member of a specific management team on specific legal specialization. Consulting with management, commercial advisors, tax experts, accountants and marketing staff. Meeting with clients to provide counsel on compliance matters and to discuss current legal issues within the company. Coordinating and managing outside counsel and litigation to ensure effectiveness and alignment of outside counsel with company objectives. Advising on employment matters and providing proactive guidance for compliance. Overseeing compliance and corporate governance issues. Drafting and negotiating company contracts, requests for proposals and other legal documents. Keeping informed of industry-specific regulations and ensuring that appropriate risk management strategies are in place. Developing the organizations policies on industry-specific issues, corporate governance or regulatory affairs. Researching and analyzing the law on complex issues and writing a brief for submission to a supervising attorney or executive of the organization. Appearing in a court of law, arbitration or other judicial tribunal on behalf of the company and presenting well-reasoned arguments to the judicial body. Analyzing and summarizing complicated legal documents including contracts; making suggestions for alterations of those documents. Negotiating with outside parties on contractual issues and legal disputes, including settlement conferences. Anticipating and mitigating potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Developing and communicating policies and procedures for the companys standard of legal and ethical conduct. Providing reports on a regular basis to keep the board and senior management informed of the progress and status of the compliance program, and advising them of new developments in ethics and regulatory compliance. Coordinating with the human resources department to develop an effective compliance training program, including appropriate introductory training for new employees and ongoing training for existing staff.

The candidate must have Juris Doctor (J.D) and State Bar License. 5 years of experience in a law firm or corporate legal department is necessary. Strong leadership, analytical, verbal and written communications skills are must. Should have: Specialized legal emphasis; High level of initiative and self-motivation; Strong presentation skills, excellent interpersonal and communication skills.

Elkhorn NE Associate Counsel - Corporate Transactions The candidate will draft and negotiate transaction documents: For the license of the companys products and services; For strategic alliances with third party vendors and resellers; For non-disclosure agreements and other legal documents; n response to requests for proposals and information. Will review and revise various template form agreements like: High value software license and hosted application services master agreements; Specific software products and application services attachments and schedules. Legal risks with respect to operational business decisions The establishment and roll-out of company-wide policies. Creating and rolling out long-term legal strategies and new processes. Stay on top of changing regulations, laws, and industry standards and effectively work with a variety of business stakeholders to develop and implement practices that support innovation and growth while maintaining appropriate commercial risk. Work closely with executive management, outside legal counsel and employees at all levels. Act as a partner and informal mentor to Legal team contract administrators. Handle anything else that gets thrown your way as needed to support a dynamic, innovative company. Understand and adhere to all company policies including the firm's Code of Ethics and Global Information Security Policy.

The candidate should have Juris Doctor (JD) degree from an accredited law school. Must be License to practice law in at least one US State. Must have 1-4 years of legal experience in a law firm or a corporate environment. Significant transactional legal experience is preferred. Experience negotiating software licensing and services agreements is preferred. Experience in general corporate and other laws and regulations specific to the financial payments industry highly desired.
