Associate Corporate Counsel, Ctd

Durham NC Associate Corporate Counsel Responsibilities: Provide ongoing advice and support principally related to commercial, supplier and sourcing contracts, proposals, SOWs, etc. including the drafting, review, and negotiation of contracts. Provide guidance on a range of legal, regulatory and compliance matters, including, pharmaceutical clinical or commercial regulatory, transportation compliance, commercial antitrust, anti-bribery/FCPA, products liability, and data privacy. Senior Counsel - Commercial/Corporate Duties: Provide all necessary legal counsel and support to consumer marketing teams on a wide variety of complex consumer digital advertising and promotion issues including: (a) online advertising content and structure; (b) e-mail marketing campaigns; (c) social media marketing campaigns; (d) text-message marketing campaigns; (e) affiliate marketing; (f) sweepstakes and prize promotions; (g) digital partnerships; (h) influencer marketing; (i) e-commerce matters; and (j) privacy policies and protection. Provide consumer marketing professionals, members of the commercial law and external affairs teams, and other key stakeholders with advice and guidance relating to compliance with BAT/Reynolds marketing policies/guidelines and applicable federal, state, and local laws and regulations, including regulations promulgated by the FDA and FTC. Ability to timely and effectively communicate this guidance both orally and in writing. Regularly engage and collaborate with global legal, regulatory, and marketing colleagues and other end-markets on potential marketing initiatives, and advise on US-specific laws and regulations. Provide legal counsel as needed about general commercial business matters including, drafting, reviewing, and/or negotiating miscellaneous commercial contracts. Support and assist Managing Counsel - Commercial (New Categories), Managing Counsel (Traditional Categories) and the broader LEX function, as requested, in supporting consumer marketing and other corporate initiatives.

Requirements: JD Degree. 5+ years of experience, preferably in-house or at a large law firm, required. Experience in counseling on relevant business areas required. Excellent written and verbal communications skills, as well as the ability to identify, research, and resolve complex legal issues, are required.

Prior in-house experience and international employment law experience are huge pluses. Must have excellent written and verbal communication skills, facilitating clear and open communication at all levels of the organization, including the ability to draft multiple types of documents that are precise yet also concise and digestible by non-lawyers. Must have excellent analytical and problem-solving skills; exceptional business judgment, with the ability to think strategically and give practical advice by balancing business needs with legal risks. Excellent interpersonal skills and the ability to interface with, and gain the respect of, stakeholders at all levels and functions of the Company needed. Should have strong project management skills and ownership mentality; consistently completes projects on-time with great attention to detail. Experience in the software industry and a willingness to travel occasionally are both desirable.
