Associate Real Estate Counsel

Plano TX Associate Real Estate Counsel The candidate will assist Peloton's senior attorneys in supporting internal clients on real estate matters. Will require a thorough understanding of Peloton's multifaceted business as the Peloton team develops an in-house legal resource for real estate matters, which will require close collaboration with Peloton's landlords, suppliers, and partners. Support Real Estate team and manage outside counsel in negotiations with landlords, property owners, property managers, government bodies, and other third parties as needed, including with respect to Company's retail showrooms, production studios, corporate offices, and field operation and manufacturing facilities. Draft and negotiate construction and design contracts to support the build out of Company facilities, and assist the Workplace team with procurement contracts for Company facilities. Assist in the coordination of all aspects of the transaction and post-closing process for major real estate transactions, including due diligence, title, survey, and environmental reviews, and addressing zoning and permitting issues. Support merger, acquisition and financing activities as they relate to real estate issues. Demonstrate a ability to spot sensitive legal and business concerns, including a strong sense of when to escalate (and not escalate) such matters to internal partners. Work closely with internal clients from key business units to support their objectives and advise on legal risks and opportunities related to their strategy.

The candidate should have 4+ years experience at a top law firm or in-house real estate practice. Must have competency in drafting and negotiating real estate leases and ancillary agreements; a focus on general real estate, construction, commercial transactions, and handling of related state and local regulatory issues is strongly preferred. Excellent written and verbal communication and interpersonal skills are required. Should have strong business acumen and ability to advise on business-related legal issues. Austin TX Senior Counsel, Commercial Real Estate The candidate will work closely with members of the CRE team in drafting and negotiating legal provisions of term sheets and loan documents; assist in resolving legal issues in partnership with the CRE team and other internal parties; work with asset management team and outside counsel on amendments, modifications to loan documents and matters related to asset-related litigation, workouts and foreclosures. Will work with Amherst's capital markets team, compliance manager and in-house and outside counsel on ACAM's capital markets activities, including the documentation of securitization and repurchase and subscription facilities. Advise CRE team, including asset management team, on ongoing capital markets matters, such as loan eligibility for CLO and contribution of assets to CLO. Review and approve investor relations materials related to the CRE business line. Review and summarize salient terms of corporate and fund-related documents, advising team members on such key provisions, as needed. In collaboration with CRE team and outside counsel, maintain form loan documents and draft relevant updates in coordination with outside counsel. Escalate any out of the box legal issues arising in loan documentation and due diligence to Senior Managing Director, compliance manager and/or EVP/Corporate Counsel and work towards acceptable solutions, taking into consideration the needs of all parties. Must have JD degree from an ABA accredited law school and membership in good standing with the state bar At least 3 years of relevant experience with a large law firm, admitted to state bar and in good standing. Proven record of providing strategic legal analysis and advice and being a creative problem solver is required. Must have ability to exercise strategic judgment in evaluating and resolving issues; Able to critically examine business practices and work as part of a team to resolve complex issues in a creative, collaborative manner.
