Corporate And Real Estate Attorney

Oakland CA Corporate and Real Estate Attorney The candidate will work closely with Chief Investment Officer and CEO to provide counsel regarding Real Estate transactions, including updating and negotiating deal terms on their behalf. Execute real estate related contracts on behalf of the Company. Update form contracts for specific instances and provide guidance to executives on potential pitfalls, while clearly highlighting options to produce beneficial Company outcomes. Draft and execute formation documents for various Company structures and entities, including GPs, LPs, LLCs - which includes drafting the forms and amendments, and which may include assignments, mergers, and significant modifications to the effective agreements. Advise and Execute legal paperwork for Acquisitions which includes term sheets, purchase and sales agreements, and master lease structures. Support and counsel on matters related to Financing term sheets. Review and approve loan documents. Draft and review contracts for various construction and development projects such as vendor agreements and project contracts in coordination with the Chief Investment Officer and Development Team. Review and advise CEO and other Company executives on various project and deal related contracts. Work with project team to ensure we are aware of insurance issues related to developments. Manage and provide legal support, representation and counsel in regard to commercial (and some residential) tenant matters. Coordinate and communicate with Company employees and managers in the Property Management and Asset Management functions where appropriate, to gather information relevant to, and necessary for, Company representation. Coordinate and collaborate with outside counsel where appropriate. Draft, manage and review Artthaus member leases as well as implement commercial lease updates when necessary. Pasadena CA Corporate Real Estate and Transaction Attorney The candidate will evaluates Letters of Intent and lease transactions nationally. Supports and partners with real estate team to negotiate structures, drafts agreements and manage outside counsel. Counsels internal business clients on sourcing operations, fulfillment and facilities, including acquisitions, leasing agreements (both existing facilities and build-to-suits), and land use and zoning issues. Responsible for property management agreements; construction agreements; procurement contracts; and other commercial transactions, ranging from standard contracts to complex, high-dollar-value transactions. Responsible for membership agreements with our restaurant partner. Provides legal counsel, advice and direction to internal customers. Drafts and reviews legal documents and reviews proposed transactions to ensure maximum benefit to the corporation and minimum exposure to risk. Structures, negotiates and drafts legal and financial documents. Acts as primary legal department contact for outside attorney communications on assigned projects/issues. Conducts research and prepares memoranda relating to these areas. Plans, coordinates and implements legal activities relating to significant corporate programs. Monitors and interprets changes to and trends in government and legislative policies at the federal, state, local and/or international level. Determines company impact and advises senior management accordingly. Participates in the planning phase of various company products, services and projects, while balancing legal considerations and advice with the companys goals. Reviews company policies and procedures as assigned and provides legal advice as to their compliance with applicable laws. Provides day-to-day business and real estate law counseling; identifies opportunities for and implements process improvements; administers and resolves legal issues that arise in existing commercial relationships; and handles pre-litigation legal disputes and inquiries. Acts with integrity, honesty and knowledge that promotes the culture and values of.

The candidate should have worked in a B2B/ B2C environment e.g., franchise and co-working industry experience is a plus. Must have 3+ years experience at a large law firm. JD degree from ABA accredited law school is required. Must have excellent written and oral communication and interpersonal skills and strong practice management skills.

Structuring issues (particularly mezz and preferred). Form Loan Docs: Coordinate revisions (marketing changes; financing/ securitization needs; different managed accounts). Field legal questions in loan negotiations. Oversee loan syndications, as and when applicable. Oversee outside counsel and provide internal legal support for leveraged lending activities, including financing of individual assets and securitizations. Portfolio Management. Loan modifications, borrower requests, coordination with senior lenders, etc. Maintain servicing related documentation and provide advice on servicing functions. Oversee RE Debt NDA Negotiation. QUALIFICATIONS: JD Degree from an ABA accredited law school and excellent academic credentials; State Bar membership in New York. 4-6 years of real estate finance experience with an emphasis in real estate and credit-oriented transactions. Experience in real estate securities and corporate governance matters, preferred. Excellent oral and written communication skills. Broad-based investment management experience dealing with complex products.
