Corporate Counsel, Supercharger and Real Estate, Legal

Fremont CA Corporate Counsel, Supercharger & Real Estate, Legal The candidate will draft, revise and negotiate real estate leases for Supercharger stations as well as other commercial agreements to support the Supercharger program, including license agreements, construction contracts, equipment leases and product sales agreements. Manage, review and prepare ancillary real estate documents (amendments, SNDAs, estoppels, etc.). Work closely with business teams to assess and advise on legal and business risks and risk mitigation strategies. Manage legal and contractual compliance for Supercharger locations, including permits, licenses, approvals, insurance, inspection and other legal requirements (zoning variances, building codes, ADA). Manage and review reports and other due diligence materials related to potential title and environmental liabilities. Resolve disputes with landlords, contractors, tenants and/or subtenants.

The candidate should have J.D. with excellent academic credentials and top tier law firm experience. Admission to California bar or ability to register as in-house counsel is required. Must have 4-6 years of legal experience, including substantial experience in commercial real estate handling commercial leasing and related matters. Should have strong drafting and analytical skills. Must have excellent oral and written communication skills. Excellent interpersonal and organizational skills are required. Should have experience negotiating directly with opposing counsel. Must have ability to work independently as well as on teams with diverse personalities and skill levels. Proven track record of learning quickly, taking initiative, working proactively and being resourceful is required.

Review and analyze preliminary title reports and title documents, including encumbrances and restrictions affecting real property. Negotiate, mediate, and advise clients with real estate matters. Research and understand real estate laws and regulations at the local, county, and state level. Conduct legal research, draft memos, and provide legal advice in connection with real estate, litigation and general business matters. Work on a wide variety of business related matters, including real estate, litigation, employment, contracts, ethics, intellectual property. Draft legal articles for internal and external use (e.g., newsletters, newspapers, websites). Other duties as assigned by General Counsel and Management.

The candidate should have a JD degree with 2+ years of law firm experience. Experience in residential real estate preferred. California real estate license a plus. Experience with drafting contracts and contract negotiation preferred. Admission to the California State Bar and distinguished academic credentials are essential. Ability to simplify complex and comprehensive information is a plus. Excellent verbal and written communication skills with established customer service skills are essential.
