Natl Provider Corporate Counsel

Tampa FL Natl Provider Corporate Counsel The candidate will be supporting firm's regional/state lawyers and business clients across the U.S. on all aspects of provider contracting, including ensuring compliance with government program rules applicable to provider relationships. Will be providing legal counsel on federal and state regulatory regimes applicable to provider relationships. Supporting strategic firm's-provider partnerships and alliances (e.g., ACOs). Providing legal advice around economic initiatives impacting providers. Monitoring and reporting on relevant developments and trends. Assisting where needed on provider disputes and litigation, including payments, credentialing and terminations. Facilitating a cross-functional internal Legal practice group of subject matter experts on a range of provider-related issues.

The candidate should have JD degree from accredited law school. Miami FL Corporate Counsel The candidate will review advertising materials, campaign and initiatives for LATAM region and provide legal advice and recommendations, including approval of new product names, menu review, social media/digital initiatives, loyalty programs, contest and sweepstakes, cross promotions, etc. Will conduct research of laws applicable to advertising in each LATAM country, including consumer protection, promotions and offers, sweepstakes and contest, advertising towards children, truth in advertising laws, name substantiation standards, nutrient content claims regulations, nutritional information requirement, IP laws, rights of publicity, etc. Provide advice to the marketing team taking into consideration the risks associated with the initiative. The candidate will provide legal support, counseling and review of due diligence, including title and survey review, in connection with M&A transactions. Will prepare and negotiate of purchase and sale agreements. Handle general due diligence review. Review title commitments, exceptions and surveys. Resolve title/survey problems and answer title/survey questions. Review, draft and negotiate ground leases, tenant leases, easements and other documents in connection with M&A transactions. The candidate will be responsible for the delivery of a full range of tax services for multiple clients in a wide variety of industries. The candidate should have a Bachelor's degree in Accounting. CPA, Master's in Taxation, LL.M. in Taxation, or J.D. degree is needed. Must have 5-7 years of progressive federal tax consulting and/or compliance experience in public accounting or a combination of corporate and public accounting experience. Experience in Corporate, S-Corp. and/or Partnership returns is required. Should have excellent analytical, technical, and tax accounting/technology skills with proficiency in US GAAP, tax compliance, corporate consolidated returns, consolidated federal tax returns, partnership returns, and combined state tax returns.
