Counsel, Corporate Governance

Saint Petersburg FL Counsel, Corporate Governance- The candidate leads and performs various corporate governance/entity management activities relating to the firm subsidiaries, including annual shareholder meetings, board of director meetings, consents and resolutions, officer and director updates, state filings, and corporate formations and dissolutions. Leads the administration and maintenance of the entity management database (currently hCue) that contains relevant information regarding all the firm subsidiaries; ensures the accuracy and completeness of the database. Part of the team responsible for Federal Reserve entity reporting (FRY-10) relating to the firm subsidiaries, as well as an annual review and confirmation process for annual (FRY-6) Federal Reserve reporting. Coordinates outside services and act as a liaison with third party providers, including current vendor, CT Corporation, responsible for entity management database system and state filings. Conducts legal research and analysis and provides counsel with respect to areas of responsibilities (entity management, corporate governance, and Federal Reserve reporting). Researches and obtains corporate name availability and employer ID numbers. Develops and maintains policies and procedures relating to areas of responsibilities. Develops and maintains library of preapproved documents, including consents and resolutions, contracts and clauses, templates and historical documents, and revises materials as needed. Provides periodic training regarding relevant corporate governance, entity management, and Federal Reserve reporting policies and procedures. Performs other duties and responsibilities as assigned. Law Degree and 2+ years experience of progressively responsible experience in relevant practice area (law firm, regulator or self-regulatory organization, and/or in-house in a related area involving financial institutions preferred). OR Any equivalent combination of experience, education, and/or training approved by Human Resources is required. Member in good standing in at least one State Bar is required. Weston FL Sr. Corporate Counsel The candidate will review, negotiate, draft and advise on various types of vendor contracts with an emphasis on SaaS agreements, software agreements, consulting agreements, partner and alliance agreements, license agreements and other technology related agreements, as well as reviewing and negotiating commercial leases. Analyze risks, and counsel various business stakeholders of potential business decisions in contract obligations, as well as identify data privacy and security risks. Collaborate with other attorneys in the Legal Department as well as work with many departments within the company including Privacy and Risk, Compliance, Security, Procurement and Global Alliances regarding these transactions. JD degree from a US law school. Current member in good standing with The Florida Bar or licensed to practice law in any U.S. jurisdiction, and if licensed in another jurisdiction is qualified as authorized house counsel by The Florida Bar under the Florida Supreme Court Authorized House Counsel Rule. 5-7+ years of experience in contract review and negotiation. The candidate will provide legal support, counseling and review of due diligence, including title and survey review, in connection with M&A transactions. Will prepare and negotiate of purchase and sale agreements. Handle general due diligence review. Review title commitments, exceptions and surveys. Resolve title/survey problems and answer title/survey questions. Review, draft and negotiate ground leases, tenant leases, easements and other documents in connection with M&A transactions. Engage and coordinate local counsel as necessary. Assist with post-closing issues as they related to tower sites acquired. Other projects and duties as assigned. May direct activities of administrative support staff and legal assistants as assigned by Associate General Counsel, the Vice President of M&A, and General Counsel.

The candidate should have B.A./B.S. and J.D. degree. Current Bar admittance in respective state is required. Must have 4-6 years of experience in corporate matters and real estate transactions including, ability to prepare and negotiate purchase and sale agreements, title and survey review and landlord tenant relations. The candidate will be responsible for the delivery of a full range of tax services for multiple clients in a wide variety of industries. Responsibilities include interacting closely with clients to provide innovative tax planning, consulting, and compliance expertise; providing primary and secondary review of complex tax returns; developing and managing staff; and working closely with partners and staff on client management, practice development, and business development activities. Will manage, direct, and monitor multiple client services teams on client engagements; plan, execute, direct, and complete tax projects in a wide variety of industries; provide innovative tax planning, consulting, and compliance expertise to clients; and manage to budget. Manage, develop, train, and mentor staff on tax projects and assess performance for engagement and year-end reviews. Conduct primary and secondary review of complicated or complex income tax returns including Corporate, S-Corp., partnership, and individual clients. Maintain active communication with clients to manage expectations, ensure satisfaction, make sure deadlines are met, and lead change efforts effectively. Consult, work with, and service client to make recommendations on business and process improvement and serve as a business advisor to client.

The candidate should have a Bachelor's degree in Accounting. CPA, Master's in Taxation, LL.M. in Taxation, or J.D. degree is needed. Must have 5-7 years of progressive federal tax consulting and/or compliance experience in public accounting or a combination of corporate and public accounting experience. Experience in Corporate, S-Corp. and/or Partnership returns is required. Should have excellent analytical, technical, and tax accounting/technology skills with proficiency in US GAAP, tax compliance, corporate consolidated returns, consolidated federal tax returns, partnership returns, and combined state tax returns.
