Legal And Commercial Corporate Matters Counsel

Phoenix AZ Legal and Commercial Corporate Matters Counsel The candidate will be responsible to prepare board resolutions, presentations and other board materials relating to company transactions, annual meetings, share plan operations and related matters; and otherwise support the board and committee meeting material preparation and distribution process. Aid in the preparation of the company's filings with, and other matters concerning, the SEC (including filings on Forms 10-Q, 10-K and 8-K, Section 16 filings, no action letters and similar items). Aid in the preparation of the company's annual proxy/information statements, manage directors' & officers' questionnaires and participate in the planning of and preparation for shareholder meetings. Assist with Irish corporate law filings and NYSE compliance matters, including with regard to director independence and related party transactions. Review the company's websites and other communications for compliance with SEC and other regulations. Research current topics within the areas of corporate law, securities and finance; prepare memoranda for internal distribution and education of these developments. Respond to internal inquiries related to SEC compliance and corporate secretarial matters. Provide support for other corporate transactions, as needed. Help to organize and manage the team's internal databases of research and filing information. Develop internal guidelines, toolkits, policies and packaged knowledge on various legal and business issues. Manage both in-house and outside legal resources.

The candidate must have J.D. from an accredited law school. 4+ years of legal experience managing securities compliance and corporate governance matters in a law firm or fast-paced corporate legal department is necessary. Proven ability to efficiently manage and contribute to significant numbers of projects simultaneously is preferred. In-house experience is beneficial. Experience or interest in working with international corporate and regulatory compliance issues, specifically Irish corporate law is an asset.

Corporate Counsel

Phoenix AZ Corporate Counsel Responsibilities: Provide proactive legal advice to assigned hospitals and healthcare operational units, as assigned; draft, review, and negotiate physician and nonphysician agreements; provide regulatory advice on substantive areas, including: Stark, anti-kickback statute, EMTALA, licensing and certification, patient care and risk management, and other areas related to healthcare operations; work collaboratively on projects or matters related to the management and administration of the Legal Department as requested from time to time by the General Counsel ("GC"), the AGC-Operations, and/or other AGCs. Identifies and analyzes legal issues, drafting key documents, presenting clear recommendations, and assuring legal compliance. To oversee and manage litigation, administrative proceedings and other regulatory (including licensure and certification) proceedings or matters as requested or assigned from time to time, including the management of outside counsel engaged to represent in the litigation or proceeding. Contributes to projects or matters related to the management and administration of the Legal Department as requested from time to time by the General Counsel ( GC ), the AGC-Operations, and/or other AGCs. Draft physician and non-physician agreements based on approved templates; advise leadership on contract negotiations; directly interface with opposing counsel to negotiate key agreements. Setting high goals for personal and group accomplishment; using measurement methods to monitor progress toward goals; tenaciously working to meet or exceed goals while deriving satisfaction from the achievement, creativity and continuous improvement. Qualifications: JD Degree or equivalent degree from an accredited law school. 3+ years of experience in related experience or demonstrated interest in healthcare law. Preferred: 3 years of legal or legal-related work experience either with a law firm and/or in-house legal department involving the performance of legal services for hospitals, health systems, providers, health care delivery organizations, and/or integrated delivery systems. Admission to State Bar where position is located or eligibility under the registered In-House Counsel provisions and licensure in good standing without any instances of suspension. Knowledge of federal, state and local healthcare related laws and regulations; ability to comply with these in healthcare practices and activities. Knowledge of methods and tools used in legal analysis and ability to read, interpret and draw accurate conclusions from both legal and factual information. Knowledge of planning and organizing concepts and best practices and ability to mobilize both time and resources to get things done.
