Corporate Counsel

Columbus OH Corporate Counsel The candidate will be responsible for providing legal consultation and advice to Worthington Industries, its subsidiaries and its affiliates. Provides legal advice and services on a wide range of matters, including corporate governance; mergers, acquisitions and business ventures; contract review, drafting and negotiation; labor and employment issues; compliance and regulatory issues; and risk/litigation management.

The candidate should have 3-7 years of experience at a leading law firm or corporate legal department (or a combination thereof). A J.D. from a selective law school admitted to practice law and good standing in Ohio or another state with ability to become licensed or registered as in-house counsel in Ohio within 12 months and as soon as possible upon hire. Outstanding written and oral business communication skills. Excellent analytical, communication, and leadership skills. Strong drafting and negotiating skills. Ability to work in a fast-paced environment, with both flexibility and effective time management skills to balance multiple priorities. Comfortable taking ownership and accountability for projects. Strong commitment to quality work product and organizational ethics, integrity and compliance. Experience with commercial transactions is preferred. Strong business judgment and interpersonal skills. Demonstrated understanding of business problems and ability to evaluate and determine the appropriate legal course of action to meet business unit needs. Ability to work independently or as a part of a team. Ability to coordinate, manage and collaborate with outside counsel. Work well with a wide range of personalities, expectations, and competing deadlines and demands. Competency with current computer technology, including the ability to perform legal research. Ability to effectively interface with a broad range of key stakeholders. Ability to quickly learn the various business areas and respond to changing needs based on the growth of the organization. Experience in identifying and implementing new processes and systems to drive operational efficiencies is preferred.

Will manage the company's compliance program, including, identifying and assessing areas of compliance risk; developing and implementing compliance processes; collaborating with business teams to effectively incorporate the compliance program within business operations; preparing and distributing the written code of conduct and other key company policies; assisting with communicating the importance of the program, and developing and implementing compliance education programs. Manage and maintain an effective compliance program and internal controls to ensure prevention and detection of violations of law, regulations, organization policies, and the Code of Conduct. Coordinate resources and monitor day-to-day compliance activities; consult with business teams, legal area experts, and external resources; and maintain and supplement the company's Code of Conduct and other related policies, to ensure the ongoing effectiveness of the compliance program.
