Contracts Corporate Counsel

North Canton OH Contracts Corporate Counsel The candidate will be responsible for handling a wide range of legal responsibilities assigned and supervised by the Executive Vice President & General Counsel. Responsible for all aspects of contract review, development and approval and ensure contracts are efficiently developed and utilized. At the direction and instruction of the EVP and General Counsel, ensures that all contracts entered meet sound business practices, statutory requirements and internal guidelines and procedures. Responsible for working with the EVP and General Counsel regarding contractual matters; analyzes and reviews contracts for customers and vendors in conjunction with the EVP and General Counsel; assists the EVP and General Counsel in the management of contract dispute and resolution process prior and during litigation. Ensure consistency of contract terms with company policies and goals. Expedite and review contracts from company's suppliers, customers and third parties. Develop, assess and negotiate non-disclosure, consulting, service and logistics agreements. Reduce company's contract risk and assist the EVP and General Counsel in developing contract strategies and best practices to enhance contract review processes. Draft purchase and sale agreements for acquisitions in conjunction with the EVP and General Counsel.

The candidate must possess a Juris Doctorate Degree from an accredited law school and must be licensed to practice law in the State of Ohio for five (5) years. Should have 5 years' experience in either a law firm or in-house setting. Should be skilled in the use of computers and Microsoft Office must have strong written and oral communication skills; attentive to detail.

Cincinnati OH Corporate Counsel III The candidate will manage a variety of assigned legal projects, including legal matters in the specialization of labor and employment law and provide practical advice and counsel to management concerning labor and employment laws. Provide a variety of general corporate and commercial legal services, including in-house legal counsel on labor and employment matters related to employees within the United States, which may include, but shall not be limited to, human resource issues, compensation and benefits matters, leave issues, termination decisions, redundancy issues, settlement agreements and, employment agreements. Manage both complex and routine commercial and employment-related disputes, including pre-litigation claims, commercial litigation, employment litigation, arbitration and mediations and, where licensed, represent the company in civil court proceedings. Coordinate with and supervise external counsel as needed on complex legal issues related to commercial matters and labor and employment law matters and civil proceedings. Be responsible for identifying and assessing legal risks and opportunities and advising stakeholders accordingly. Be responsible for overseeing responses to inquiries from regulatory authorities, including responding to Civil Investigative Demands Attorney General Complaints and complex subpoenas. Be responsible for other related duties assigned as needed.

The candidate should have 4+ years of litigation and employment law experience. Excellent verbal and written communication skills with the ability to tailor messages to be appropriate to the audience. Ability to effectively deal with issues that are complex, confidential and sensitive in nature. Excellent problem-solving, critical thinking and time management skills. Effective team building, coaching and persuasion skills. Intermediate to advanced negotiation skills with regard to complex issues. Experience in the fintech industry is preferred. Broad commercial litigation experience with a minimum of two years in an in-house role is preferred. A broad focus on labor and employment laws, in addition to broad commercial litigation experience, is preferred.

Brecksville OH Senior Corporate Counsel The candidate will prepare, draft, negotiate and finalize contracts, including confidentiality agreements, third party vendor agreements and other agreements. Ability to monitor multi-state regulatory requirements and analyze legal and regulatory issues in areas of employment, real estate, mortgage lending, and assist with developing related policies and procedures. Work in close collaboration with cross-functional teams and external vendors on contract review, renewals and amendments, as needed. Advice on the organization's Human Resources, Benefits, and Payroll Departments on various employment law issues, including but not limited to wage and hour compliance, compensation, employee relations, immigration compliance, unlawful discrimination claims, leave of absence and accommodations, terminations, reductions in force, benefits, and personnel-related subpoenas. Review and investigate allegations on litigated accounts and assist Chief Legal Counsel, outside counsel and servicing legal management. Ability to oversee and manage claims, litigation management and outside counsel.

The candidate should have a Bachelor's degree from a four-year college or university. D. from an accredited law school and in good standing. Admitted to practice law in the State of Ohio or any other applicable jurisdiction(s). Should have 5-8 years of experience as a practicing attorney with a law firm, corporation or government agency. Prior experience working at a real estate/mortgage/banking/ financial services or law firm handling residential mortgages is a plus. Familiarity with federal and state regulatory compliance. Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, Federal and/or governmental regulations.
