Senior Corporate Counsel

Nashville TN Senior Corporate Counsel Responsibilities: Primary support to procurement and IT functions, including marketing-related contract matters. Support to human resources for all labor & employment matters. Work closely with marketing and communications teams to identify and analyze legal and commercial risks related to various marketing matters, including evaluating marketing materials for all company products. Draft, review, analyze and negotiate agreements, memoranda and other legal documents to which the company intends to become a party across a wide variety of categories. Establish, manage and maintain strong collaborative relationships with a variety of corporate clients in different areas of the company, including human resources, sales, manufacturing, and marketing. Develop a thorough understanding of and familiarity with the company's business in order to identify trends and formulate appropriate legal advice, structures and strategies. Retain, evaluate and effectively manage external legal counsel supporting corporate and transactional matters in order to maximize the quality of representation and remain within budget. Independently handle and keep track of multiple projects for the company.

Qualifications: JD Degree with superior academic credentials from an ABA accredited law school. Admitted to practice in the state of Tennessee or admitted to practice in a state that offers reciprocity with the state of Tennessee. 8+ years of law firm or in-house experience with labor & employment, transactional and corporate legal experience. Intellectual Property experience is a plus. Strategic business partner with demonstrated ability to impact, influence and negotiate with internal and external stakeholders. Ability to anticipate legal issues or risks and to see around the corner  through understanding of and familiarity with the company's business. Highly professional, poised, excellent written and verbal communication skills and executive presence with law firm and in-house experience. Senior Corporate Counsel

Nashville TN Senior Corporate Counsel Responsibilities: Provide legal support for vendor contracts to be entered into between any supplier of products, equipment, services, and/or computer software and for access by member institutions. Provide legal support for vendor contracts to be entered into between any supplier of products, equipment, services, and/or computer software and any HCA affiliated entity, including HCA Supply Chain operations, HCA Divisions and Facilities, HCA corporate departments, and Parallon. Provide legal support for membership agreements related to HealthTrust, CoreTrust, and Advantage Trust GPO programs. Provide legal support for pharmacy and med/surg agreements related to HealthTrust, CoreTrust, and HCA programs. Draft agreements and templates; coordinate with the internal business clients to ensure proper legal documents are used; review edits proposed by other contracting parties; negotiate with other parties to arrive at mutually acceptable language; and assist business clients in finalizing documents for signatures. Provide legal guidance on contract interpretation and other legal issues related to group purchasing and healthcare supply chain operations. Draft and negotiate custom pricing agreements for specific HealthTrust members. Provide legal guidance on compliance with various healthcare laws and regulations, especially the Anti-kickback laws and regulations, the Discount Safe Harbor, and the GPO Safe Harbor. Accomplish special projects as assigned by the Managing Counsel and Chief Legal Officer.

Qualifications: Bachelor's Degree Required. JD Degree from accredited Law School. Member of the TN Bar, ability to be waived into the TN Bar, or willing to take the TN Bar exam. 10+ years of relevant experience. Contracting experience required Pharmacy experience is helpful. Knowledge of purchasing agreements with manufacturers and distributors (including med/Surg and pharmaceutical manufacturers, wholesalers, and/or compounders). Excellent interpersonal skills in working management, with internal clients and external parties required. Understanding of HIPAA regulations. Excellent communication skills (oral and written) are required.
