Corporate Counsel - Compliance

South Jordan UT Corporate Counsel - Compliance Duties: Understand the culture of the company and become an evangelist of its values. Work with the General Counsel, and the larger team, to develop internal compliance procedures that work within the context of a fast-pace growing business (product, regulatory, and contractual). Win the hearts and minds of your internal stakeholders. Foresee risks and help us to not assume the happy path - and address those risks with well-informed pragmatic solutions. Interface with domestic and foreign counsel. Areas of focus: data privacy, import/export, international product requirements, vendor and supplier relations. Base counsel on research, integrity and data. Be able to motivate and drive change with a positive, optimistic influence. Draft agreements with a thorough understanding of the business that minimize risks and maximize the company's legal rights. Be able to act as an interpreter from legalese to words that normal (but smart) business people understand. Process complex, significant matters that cut across legal and business functions and be able to render an informed view to the Team in short order. Stay plugged in to what is happening in the legal world and how that affects . Provide guidance on other general corporate matters as needed.

Qualifications: Law Degree from a recognized Law School. 3-5 years experience advising businesses. Overall broad legal knowledge (corporate law, consumer products, advertising, etc). Well-versed in how business operate with financial acumen. Outstanding research capability. Excellent judgment and analytical skills. Ability to thrive in a fast-paced growing environment. Have a thorough understanding of laws surrounding consumer products, advertising claims, social media, data privacy, contracts and safety compliance.

Legal Corporate Counsel - Commercial Contracts

Salt Lake City UT Legal Corporate Counsel - Commercial Contracts The candidate will proactively assist with the assessment and management of legal affairs, with a strong focus on transaction matters, including M&A, and intellectual property. Will assist with all legal matters including governance, contracts, transactions, regulatory compliance and more. Other duties will include: Review and advise on variety of commercial and procurement contracts, and drive adherence to standards and system for contract management. Manage and deliver positive outcomes of a variety of complex issues, projects, and assignments within the legal department. Provide strong leadership and legal counsel to all parts of the company business. Respond, manage, implement and drive corrective action with urgency, efficiency, and sound judgment in the event of an environmental or safety related incident, and/or investigation. Ensure compliance with applicable HSEC Performance Standards, together with legal and regulatory requirements. Support with management of regulatory claims and proceedings, and internal and external investigations, with efficient use of internal resources and external counsel. Provide legal support for various projects as required. Respond professionally and timely to address legal and commercial problems and business requests. Utilize judgment and make clear, rational and timely decisions in the best interests of Dyno Nobel consistent with available facts and applicable laws and regulations. Obtain and analyze all facts necessary to make sound business judgment. Achieve deliverables and positive results consistently while maintaining high service, quality, responsiveness, efficiency and professional ethical standards. Build trust and respect between Company and all of its stakeholders. Deliver research, factual information, counsel, and guidance on legal questions or issues. Develop and deliver memoranda s, initial drafts, and final drafts of legal documents. Bachelor's degree and Juris Doctorate from accredited universities. Member and of good standing with the appropriate Bar Association. 5 years legal experience required. Review, negotiate, draft and approve vendor contracts, confidentiality agreements, etc. Assist the SVP & General Counsel and VP, Legal & Compliance in implementing and maintaining the 50-state law compliance program. Assist the VP, Legal & Compliance to manage litigation and outside counsel, including responding to discovery requests and subpoenas.
