Corporate Counsel / Senior Corporate Counsel

Milwaukee WI Corporate Counsel / Senior Corporate Counsel The candidate will work with legal and business personnel on public company matters and required SEC filings, including responsibilities for preparation and filing of the company's proxy statement, reports on Form 8-K, Section 16 filings, Regulation FD compliance, preparation of forward-looking statements and disclaimers, Annual Report on Form 10-K, quarterly reports on Form 10-Q, periodic legal support for investor relations, and related securities and corporate governance matters. May also perform corporate secretarial functions for H-D subsidiaries. Oversee and manage the work of the Corporate Governance Lead, and delegate work to and manage outside legal counsel. Work with business personnel and negotiate, draft, and provide legal advice on a wide array of commercial agreements and matters, including technology licenses and software-as-a-service agreements, supplier agreements, real estate transactions, aviation-related agreements, data analytics agreements, travel and entertainment agreements, and professional services agreements. Bachelor's Degree required. Juris Doctorate degree from an accredited law school required. Must be licensed to practice law in the United States, a member in good standing with a State bar, and the ability to become a member of the Wisconsin State bar. Should have 5+ years of related experience with 3+ years of experience in a law firm or corporate legal department. Outstanding communication skills with the ability to interact effectively with executives and all levels within the organization. Fluency in Spanish an added asset. Review and prepare real estate closing documents and assist with closings. Review, negotiate and draft real estate-related agreements and documents including easements, escrow agreements, and side letter agreements. Provide advice on contract interpretation. Draft, review and negotiate leases, renewals and other leasing related documents. Assist with managing legal component of lease assignment and subletting processes. Assist with managing legal component of tenant collections program. Asset Management. Review and advise on property specific issues identified by facilities management partners and asset managers. Review, negotiate and prepare general contracts for company. Assist in corporate and property-level financing. Review, negotiate and draft corporate finance transaction agreements and documents. Assist with equity offerings and due diligence. Assist in preparation and review of Board and Committee charters, policies, and submissions. Review and prepare Company policies and procedures. Assist in review and drafting of Company SEC filings. Assist in review and drafting of press releases. Assist in preparations for annual shareholder meetings.

The candidate should have a Juris Doctor Degree and other strong academic education. Minimum 5 years of experience as a corporate transactional attorney with a strong background in commercial real estate and leasing matters. Proficient in Microsoft Office or Equivalent Applications. Strong verbal and written communication. Self-Confidence, meeting management, and client relationships management. Ability to maintain a professional demeanor in all situations and be able to withhold confidential information. Ability to monitor/assess performance of yourself, other individuals, or organizations to make improvements or take corrective action. Strong organizational and time management discipline. Solid judgment and ability to resolve conflicts efficiently and effectively. Ability to multi-task and operate effectively in stressful situations.
