Associate General Counsel, Intellectual Property And Product

Santa Clara CA Associate General Counsel, Intellectual Property and Product The candidate will manage and drive the strategy for all IP types. Counsel internal clients, including management, product teams, technical operations, and corporate development teams, on IP risks and opportunities. Review and assist in the drafting and/or negotiation of nondisclosure, research, license, and other agreements involving the use, transfer, or ownership of intellectual property. Assess and advise on IP risks and opportunities in complex transactions. With the assistance of outside counsel, provide IP due diligence support for corporate development activities and manage patentability, freedom-to-operate, infringement, validity, and regulatory exclusivity analyses. Provide support for adversarial proceedings involving company technology or products, including IP litigation and European oppositions. Provide counsel to product managers and engineers on new product launches and features. Train internal client groups to promote awareness of IP and its implications on various functions within the organization. A minimum of seven years relevant professional experience in a law firm and/or in-house setting, with experience in the tech industry highly preferred. Knowledge of the role of an IP strategy in life cycle management. Ability to approach IP creation and protection with a strategic mindset by anticipating future business, competitive and legal risks, and opportunities and offering creative solutions. Experience in drafting and negotiating IP terms in business transactions. Experience with license agreements is strongly preferred. Strong business acumen and the ability to creatively resolve business issues. Ability to manage outside counsel and other external resources for quality work product, value, and efficiency. Ability to communicate effectively, both orally and in writing. Flexibility, willingness, and ability to take on diverse tasks. Ability to facilitate and contribute to collaborative decision-making processes and work effectively on cross-functional teams. A Juris Doctorate from an accredited law school. Sunnyvale CA Intellectual Property Attorney The candidate will be collaborating closely with engineers and others in the company to protect the company's intellectual property. Leading invention identification meetings, reviewing invention disclosures for decisions on IP actions, and directing invention disclosure meetings. Managing a substantial invention and international patent portfolio in designated technology areas. Overseeing and instructing outside counsel and foreign associates, including substantive spot-drafting and reviews. Counseling the company on patent and trade secret matters. Advising the company on other IP matters, such as those related to copyrights, open source software, trademarks, designs, etc. Supporting IP due diligence, transactional, licensing, and litigation activities as needed. Aliso Viejo CA Intellectual Property Counsel The candidate will develop global intellectual property strategy in partnership with indie leadership. Build patent program and manage indie's patent portfolio, including patent portfolio development, assessing patentability and enforceability of patent invention ideas. Manage disputes and litigation concerning IP and related licensing matters. Provide support to product development, product management and engineering teams on IP strategy and related licensing matters. Create IP-related policies, procedures, training programs, and playbooks. Offer counseling on IP and licensing-related issues for new products and features. Provide support to corporate, M&A and operations teams on IP-related matters. Review and manage relationships with outside counsel with respect to global intellectual property protection. Undertake other projects as required as part of a small but mighty legal team.

The candidate should have a JD degree. Registered U.S. Patent Attorney with background experience in electrical engineering. Should have 12+ years of patent prosecution and IP experience at a top law firm or in-house; patent litigation experience preferred. Deep experience partnering with and providing support to executive leadership, engineering, product development, and product management teams is required. Demonstrated experience in building and maintaining a strategic and efficient patent program. Demonstrated experience leading IP-related transactions and in product development transactional work. Experience assessing IP portfolios and negotiating IP provisions in M&A context preferred. Strong technical background in semiconductors and interest in learning new technologies. Demonstrated ability to develop creative solutions to novel issues in a fast-paced and ever-changing environment. Excellent written, communication and interpersonal skills and the ability to connect with, and gain the respect of, stakeholders at all levels. Ability to adapt to and thrive in a dynamic environment of rapid growth, preferably in or with fast-paced tech-driven companies. Excellent business sense and legal judgment, with the ability to be strategic as well as detail-oriented. Flexible and willing to approach legal challenges with an entrepreneurial mindset.
