International Trade Senior Corporate Counsel

Bellevue WA International Trade Senior Corporate Counsel The candidate will develop, implement and support all aspects of an export control compliance program. Develop policies, procedures and trainings, as well as recommend creative solutions to simplify existing processes. Will also frequently meet with the teams various engineering sub-teams to review their technology and determine appropriate classifications. We are looking for an export control attorney who is motivated, passionate and can start as a jack of all (export control) trades but also build/manage a team as needed. J.D. degree from an accredited law school and active membership in one state bar is required. Should have 10+ years working on international trade matters, with an emphasis on export control matters. Experience with cutting-edge technology, particularly involving multiple hardware and software engineering disciplines such as robotics, autonomous systems, artificial intelligence, aerospace or telecommunications is preferred. Experience developing, implementing or revamping an export control program is preferred. Develop innovative solutions to legal questions and regulatory challenges and help chart our course in areas of law that are only starting to coalesce. Structuring, drafting, and negotiating commercial transactions and business structures, will help resolve issues that arise in commercial relationships. Develop strategies for handling legal issues in creative, business-centric ways and will build processes that address risk and allow the business flexibility and freedom to move quickly. Must have 5+ years as a practicing attorney, with 2+ of those years at a top law firm, and preferably some portion of that experience in commercial transactions or technology. Should have JD degree degree or international equivalent. Must have membership in good standing in at least one state or foreign bar. Should have strong academic credentials. Should preferably have experience in analyzing and synthesizing laws across multiple countries. New York City NY International Attorney The candidate will provide senior level legal support for investment banking and bank finance franchise in Latin America (outside of Brazil). Primarily focused on providing bankers with advice with respect to complex legal issues and other matters impacting M&A advisory and cross-border syndicated and bilateral lending (leveraged and investment grade). Specific responsibilities include: Drafting, reviewing and negotiating various agreements, consents and waivers (including M&A engagement letters, valuation reports, fairness opinions, commitment letters, fee letters, credit agreements, confidentiality agreements and accountant access letters). Advising and assisting in the identification, escalation and resolution of potential conflicts and reputational issues. Advising and assisting in the recommendation, implementation and maintenance of policies, procedures and protocols for supported business groups. Advising on selected regulatory matters (including anti-tying rules and affiliate transactions). Coordinating with and managing outside counsel; and providing training in selected areas.

The candidate must have J.D. from an accredited institution. Must be admitted to New York Bar and in good standing. Should have 6+ years of relevant in-house and/or law firm experience with sophisticated cross-border Latin America syndicated lending and/or M&A transactions. Must be fluent in Spanish
