Environmental Sustainability & Real Estate Attorney

Dallas TX Environmental Sustainability and Real Estate Attorney Duties: Act as a legal contact for the Company's sustainability, supply chain, environmental services, airport affairs, corporate communications, corporate strategy, and other departments on all matters related to environmental sustainability and environmental regulatory compliance. Review, negotiate, and draft a wide range of airport agreements and commercial contracts, including sustainable aviation fuel agreements, vendor agreements, professional services agreements (e.g. master service agreements and statements of work), lease agreements, and non-disclosure agreements. Assist with the review of marketing materials and corporate travel offerings related to carbon offset programs, emissions reporting, and other environmental sustainability programs and initiatives. Coordinate legal review of the Company's environmental sustainability disclosures, including citizenship reports, press releases, and investor presentation materials. Interpret and render legal advice with respect to EPA and related federal, state and local environmental laws, regulations, standards, and guidelines relating to the Company's operations (e.g., Clean Air Act, National Environmental Policy Act, Airport Noise and Capacity Act, etc.). Interpret and provide advice with respect to environmental compliance requirements contained in airport leases and other commercial agreements. Collaborate with legal department colleagues on a variety of legal, regulatory and policy issues. Monitor and stay abreast of applicable legislation, regulations, case law, government activities, emissions standards, and reporting frameworks (e.g., GRI, SASB, TCFD). Provide legal support and advice to support compliance with the Company's corporate policies. Strategically manage outside counsel and budgets. Efficiently and effectively prioritize and manage concurrent projects with competing Company demands. Perform other duties requiring legal research and analysis and/or negotiations as may be requested. May perform other job duties as directed by Employee's Leaders.

Qualifications: Law Degree from an accredited school. Must be a current member in good standing of at least one State Bar association. Should have 4 years of experience with a mid-sized to a major law firm and/or in-house legal department as a practicing attorney with a focus on environmental matters. Experience with laws, regulations, and programs related to climate change, emissions, and carbon offsets/environmental credits. Experience with the various reporting frameworks and standards (e.g., SASB, TCFD, etc.) is a plus. Experience as an attorney drafting and negotiating airport agreements and/or other real estate documents is a plus. Strong PC skills with knowledge of word processing applications. Ability to use a computer keyboard with sufficient speed to meet the demands of the job.

Spring TX Corporate Counsel - Environmental/Regulatory Section The candidate will provide legal analysis and counsel on environmental matters and their affiliates. Represent the Company in dealings with third parties, including, federal, state, or local environmental or other agencies or representatives. Negotiate agreements, including but not limited to permits, consent decrees, and other similar agreements. Provide environmental legal support as needed in connection with projects in or outside the United States. Conduct and coordinate research into a variety of legal issues, ensure compliance with laws, regulations, and Company policy, and anticipate and address legal risks and exposures for the Company. Participate in preparation and review of comments on proposed regulations. Conduct and coordinate environmental compliance investigations. Prepare and review presentations, documents, and pleadings as relevant and necessary and associated with the above matters. Coordinate with and oversee outside counsel ensure proper handling of matters where counsel is retained.

The candidate should have a J.D. from an accredited law school. Strong college and law school record (top 1/3 of class preferred. Licensed to practice law in at least one state (Texas bar membership strongly preferred). Should have 3 years of legal experience in a law firm, corporation or agency. Strong research and writing skills. Strong interpersonal and communication skills. Demonstrated litigation or regulatory work experience. Experience in handling complex legal issues and working with governmental entities. Strong negotiating skill. Reputation for high ethical standards and integrity. Strong analytical skills and ability to exercise sound business judgment. Ability to work both independently and as a member of a team. Demonstrated experience and knowledge working with regulated industry and/or with environmental laws and regulations is preferred. Saint Louis MO Corporate Counsel (Environmental and Transactions) The candidate will be advising on various aspects of regulatory compliance and provide practical advice to internal clients on permitting and compliance requirements for all aspects of the business including fossil generation, gas operations, and natural resource implications of wind farms, transmission lines, etc. Securing and defending requisite authorizations (i.e., permits, local-siting approvals, ordinances, etc.) to facilitate ongoing operations of generating facilities (fossil, wind, solar) and transmission projects. Working with Environmental Services and other departments, develop strategies for the preparation of technical submissions to support permitting applications and compliance submissions to mitigate third-party legal challenges. Working with internal clients, providing legal support for cleanup activities at contaminated sites, familiarity with state brownfield programs a plus. As appropriate, negotiate Consent Decrees with federal or state environmental agencies regarding remediation of legacy sites or other compliance obligations. Defend and/or challenge permitting decisions of state and federal agencies (i.e., IEPA (Illinois Environmental Protection Agency), MDNR (Missouri Department of Natural Resources), USEPA (the United States Environmental Protection Agency), MDC (Missouri Department of Conservation), USFWs (United States Fish and Wildlife Service), and USACE (United States Army Corps of Engineers)). Work with accounting, shareholder services, corporate communications, and accounting on public disclosures and collaborate with corporate counsel to address disclosure issues including ES&G (Environmental Social and Governance) matters. Provide support to Federal, Missouri, and Illinois legislative teams in reviewing legislative proposals, providing alternative statutory and regulatory language and background briefing support. Evaluate the impact of proposed legislation on business operations and provide strategic counseling regarding the same. Evaluate and provide comments on new regulations and legislation impacting Company's business. Provide expertise and support to transactional lawyers on acquisitions and divestitures of assets regarding environmental risks and mitigation strategies. Advise internal clients on real estate transactions including the buying and selling of impacted properties. A Juris Doctorate Degree (J.D.) from an accredited law school is required. Should have 5+ years of experience in a law firm, corporate legal department, or another comparable legal setting with experience in an area of specialty required. Licensed, eligible to practice, or able to seek admission in Missouri and/or Illinois required. Proficient knowledge of legal primary practice area required. Must be a business-minded lawyer with the ability to drive the organization to achieve strategic objectives and provide practical advice and solutions. Must be able to identify and analyze environmental issues that impact the operation, execution, and success of the business.
