Associate General Counsel, Compliance Programs - Risks & Controls

Chicago IL Associate General Counsel, Compliance Programs - Risks & Controls The candidate will provide legal and compliance program advice on the development, improvement, and maintenance of risk management programs including controls and associated processes, policies, and documents across risk areas. Support and advise cross-functional partners who deliver run state risk management programs, including via risk management forum leadership. Drive compliance program remediations and improvements identified as a result of internal and external program assessments, investigations, issue management programs and audits. Collaborate with Legal Risk Management, Finance and others to develop data-driven strategies across risk areas and deliver trend analyses and insights that improve the compliance program and internal controls. Undertake special projects and support other compliance program initiatives, as needed.

The candidate should have a J.D. degree (or foreign equivalent) and membership in at least one U.S. State Bar. Should have 8+ years of experience counseling compliance programs, with 2+ years in a compliance-related practice in-house. Experience providing programmatic legal and compliance guidance across a variety of legal issues and risk areas (e.g., privacy, anti-corruption, political activities, trade) to business stakeholders. Experience advising on, designing, implementing, or assessing processes and controls intended to facilitate regulatory compliance and achieve an effective compliance program. Adept at delivering practical advice under pressure and prioritizing work. Interpersonal experience and experience collaborating with teams to solve problems. In-house experience at internet or technology companies is preferred. Experience advising enterprise risk management functions is preferred. Experience and comfort working with data, including measuring program performance and effectiveness, informing priorities and delivering insights to stakeholders is preferred. Experience working with or in support of diverse communities is preferred.

Manage docket of potential and active litigation matters for the company and of CLO personnel in litigation and disputed areas including paralegal support. Support the preparation of company staff for legal proceedings, depositions and trial, and represent the company at EEOC hearings, trials, mediations, arbitrations and depositions. Coordinate within CLO and support the development, revision and maintenance of internal manuals and enterprise-wide policies on matters related to dispute and litigation proceedings and support other CLO functions including training and education initiatives on legal-related subjects. Coordinate third-party vendors retained by UL on any litigation or dispute matters. The candidate should have a JD degree and 7+ years of relevant experience in a law firm or fast-paced and innovative corporate legal department. Bar admission in good standing. In-depth knowledge of laws and regulations. Experience in the following legal areas is strongly preferred: product liability; commercial and contract disputes; antitrust and trade regulation; personal injury; export control and sanctions; environmental. Experience in taking and defending depositions, preparing witnesses, and attending hearings and trials. Strong analytical and organizational skills and excellent written and oral communication skills. Ability to use sound judgment, provide guidance, and make key decisions in a demanding and fast-paced environment. Ability to contribute as a team player and work collaboratively with colleagues, clients, and business leaders to fulfill and advance company strategy. Identify potential areas of compliance and privacy risks and anticipate legal and regulatory changes. Buildout and develop compliance processes. Oversee Data Subject Rights response process. Support, conduct and manage data mapping, impact assessments, and transfer impact assessments. Network with business teams to provide counsel on compliance with privacy laws. Lead the Group's compliance with industry certifications and memberships. Support the group's an advertising and publisher vetting/compliance processes.

The candidate should have 7+ years of experience in general legal practice with an emphasis on compliance, privacy laws, regulations, and standard methodologies. Law Degree and bar license required; CIPP-US and EU certification a plus. Experience in contract drafting and negotiation in a technology environment is required. Must have strong networking and interpersonal communication and persuasion skills. The ability to work in a complex, highly collaborative, geographically dispersed team environment is required. Interest in advertising technology a plus.
