Counsel, Regulatory And Compliance

Abbot IL Counsel, Regulatory and Compliance The candidate will counsel attorneys and contracting personnel on government contracting laws and regulations and collaborate with cross-functional teams to effectively resolve complex issues. Will serve as the legal subject matter expert on a full range of government contracting matters and other applicable laws, providing leadership, guidance and support to clients and other attorneys in Legal Division. Stay on top of changes in laws and regulations related to government contracting and anti-corruption. Develop, periodically revise, manage and assist in the implementation and maintenance of the company's government contracting, anti-corruption, and fraud and abuse policies and procedures and ensuring business/organizational adaptation and compliance, as needed. Interact with and providing legal and strategic guidance to senior management and functional organizational leadership. Report to Senior Counsel within Legal Regulatory and Compliance.

The candidate should have a J.D. degree from an accredited law school, demonstrate a strong academic background, and be admitted to a US State Bar and in good standing, and have, or be able to obtain, licensure to practice law in Illinois. Must have 4+ years of experience practicing law in a prominent law firm, large corporation or government agency. Health care or other relevant industry experience required. Should preferably also have experience in the healthcare industry, particularly related to anti-corruption and US fraud and abuse laws. Should have strong knowledge of US government contracting laws, rules and regulations specific to the US, as well as industry leading-practices and standards, and demonstrated expertise in analysis of relevant laws and guidance and counseling clients and drafting and negotiating complex government contracts. Experience in government contracting is required. Experience in health care industry related to fraud and abuse and anti-corruption are strongly preferred.

Drive awareness regarding the importance of Ethics & Compliance, identify areas of Ethics & Compliance risk, and undertake corrective plans to resolve the issues. Develop, deliver, and oversee training related to the Company s Ethics & Compliance policies and the law, including through Compliance Clinics. Assist in the implementation and oversight of Baxter s Third Party Program. Support the implementation of Compliance Clinics. Perform special assignments or projects, as needed. Conduct or participate in internal investigations regarding potential violations of Company s policies or the law.

The candidate must have J.D. from a recognized U.S. law school (alternatively, an LLM from a U.S. law school). Must have 15+ years of experience between private practice and in-house role, with at least 5 years in-house experience working in Ethics & Compliance. Healthcare and international experience strongly preferred. Knowledge of and experience with anti-corruption/anti-bribery and antitrust; pharmaceutical or medical device promotion experience strongly preferred. Fluency in English is required; additional language capabilities are a plus.

Chicago IL Compliance Counsel Responsibilities: Assists in the development, implementation, communication, and enforcement of organizational compliance policies and procedures that will deliver outcomes and results that are ethically sound and legally complaint. Assists with the review and monitoring of activities of business units to ensure compliance with established organizational policies, procedures, and legal requirements. Provides research and analysis for a variety of compliance and legal matters and to help ensure compliance with federal, state, and local laws. Maintains meticulous compliance files and documentation. Develops and manages various compliance related databases, providing reports as required. Prepares compliance documentation, materials and presentations. Stays current on relevant legal and compliance issues related to function. Performs other duties as required.

Qualifications: Bachelor's degree or equivalent relevant experience. Junior attorneys may also be considered. 7-9 years of relevant compliance experience in a law firm and/or company legal or compliance department. In-house experience preferred. Experienced in developing and maintaining compliance programs in areas such as anti-bribery/anti-corruption, third-party due diligence, gifts/hospitality/charitable contributions approvals, political compliance, and policies & procedures governance. Experience with other risk and governance areas, and compliance program metrics tracking a plus. Excellent communicator, both verbally and in writing and with colleagues at every level in a diverse, global organization. Keen attention to detail and quality of work product. Bilingual English/Spanish (speaking and writing) preferred. Familiarity in engineering, architecture, consulting, professional services and/or construction fields a plus.
