Corporate Counsel, Contracts

Boston MA Corporate Counsel, Contracts The candidate will draft, review, and negotiate various contracts, such as: confidentiality agreements, materials transfer agreements, research collaboration agreements, government grants, formulation development and manufacturing agreements, clinical trial agreements with clinical sites and contract research organizations, consulting agreements, raw material purchase agreements, preclinical service agreements, bioanalytical testing agreements, compound screening/testing agreements, investor relations agreements. Will assist on statements of Work, Work Orders, Proposals and Quotations (a) emanating from master service agreements and (b) generated as standalone documents in the absence master service agreements. HR related agreements to support agency hires and temp placements. Subscription agreements associated with on-line libraries and software licenses, lease or sublease agreements, and agreements to support facilities repair and maintenance. Quality agreements in collaboration with the head of QA. Term sheets and license agreements under the direction of the GC and such other agreements as requested. Coordinate with GC, internal staff, or external counsel to update contract templates for conformance with regulatory requirements. Select, populate and manage a contract database to record all executed contracts. Use such database to track upcoming contract expiries, payment and other obligations. Draft contract extensions, notices of terminations or amendments, as applicable, in coordination with stakeholder needs.

The candidate should have Law degree from a Canadian university or JD degree from an accredited US law school. Must have 3-4 years of prior work experience in private practice or as in-house counsel at biotechnology or pharmaceutical company. Must have familiarity with terminology typically used within the areas of drug regulatory affairs, quality control, quality assurance, analytical development, process development, manufacturing and clinical trials. Must have good understanding of the work flow and interdependencies among the various departments within a biopharmaceutical company. Must have understanding of intellectual property rights sufficient to collaborate with IP counsel. Prior life sciences research experience is highly desirable. Must have proficiency in contract drafting and template creation.

Cambridge MA Contracts Attorney The candidate will independently reviewing, drafting and negotiating routine agreements and handling other legal matters and projects, as assigned. Independently review, draft and negotiate a variety of agreements in connection with firm s day-to-day activities, including but not limited to vendor agreements, academic research agreements, service agreements, consulting agreements, addenda/amendments, confidentiality agreements and statements of work. Serve as primary contact for internal clients during the contract negotiation phase and provide status updates on contract negotiations. Engage other members of the legal team as needed to ensure contract compliance with appropriate laws and regulations and adherence to company policies, business procedures and contracting standards. The candidate must have Juris Doctor Degree. Must have minimum of 5+ years of relevant work experience as a practicing attorney working with commercial contracts is required. Experience in the life sciences industry and a working knowledge of concepts relative to the industry is strongly preferred. Should have ability to independently review, draft and negotiate a variety of agreements quickly and carefully. Should have ability to quickly and effectively review agreements in the context of business circumstances and provide advice that recognizes and integrates legal risk, business objectives and negotiation leverage. Should have ability to identify, call out and resolve contractual issues together with the legal team. Must have ability to start and continue tasks independently as well as work cooperatively and collaboratively as a member of a collegian and dynamic team. Must have flexibility and a demonstrated ability to work on multiple projects concurrently, to work with minimal supervision and to meet externally imposed deadlines in a fast-paced, energetic and high-activity environment. Project management skills with an emphasis on organization and demonstrated diligence in following up on outstanding matters is required. Good business judgment and excellent interpersonal, influencing and negotiation skills. Strong oral and written communication skills is required. Ipswich MA Commercial Contracts Attorney The candidate will responsible for contract support for the GBD and OEM teams, and provide contract support for other parts of the firm. In addition, the Commercial Contracts Attorney will be a key player in all aspects of the transaction legal team's work. Draft, review and support the negotiation of all types of agreements, including but not limited to intellectual property licenses, collaboration agreements, manufacturing and distribution agreements, OEM agreements, confidentiality agreements, material transfer agreements, and master supply agreements.Prepare, monitor and periodically review terms and conditions for all types of routine contracts of adhesion (e.g. website sales, software EULAs, freezer programs, marketing campaigns, drawings and sweepstakes, purchase orders, etc.). Identify and implement practical business solutions to achieve organizational goals. Lead projects to implement best practices within the Legal Department and other internal clients, including review and update of contract processes, contract automation, and all legal templates and playbooks. Manage outside counsel for major projects and litigation as directed by the General Counsel. Provide strategic advice to the General Counsel, the Executive Team, the Global Business Development Team, and other leaders within the Company to accomplish business objectives. Advise the internal clients on the legal risks accompanying business strategies, and implement best practices to manage those risks. Assist the Director of Human Resources with internal investigations and employment law matters, as directed by the General Counsel. Advise the Executive Team and the CEO on strategic matters, as directed by the General Counsel.

The candidate must have Juris Doctorate Degree from an accredited law school. Must have minimum 10+ years of experience in contracts law, with at least 2+ years of law firm experience and in-house experience preferred. Minimum 5+ years of experience drafting and negotiating commercial agreements is required. Should have minimum 5+ years of experience drafting and negotiating technology licenses. Must have the ability to work interactively within and across multiple departments and manage priorities effectively.
