Contracts Attorney

Cambridge MA Contracts Attorney The candidate will negotiate and draft a high-volume of specialized agreements necessary to advance the operations of a fast-growing biotechnology company, including licensing, contract services, evaluation, material transfer, research collaboration, and clinical trial agreements. Will interface with internal stakeholders and external parties to gather specifications and terms necessary for contract drafting and negotiations. Provide and effectively communicate sound legal advice that is informed by a strong understanding of company's business needs and priorities. Work with outside counsel where appropriate and manage to budget. Contribute to the review, development, communication and implementation of policies and procedures. Participate in managing contract management tools and other technology adopted by the Legal Department and train internal stakeholders as appropriate. Generate reports, presentations, spreadsheets and other documents for the Legal Department and internal audience, as requested. Complete special projects, as requested. Bachelor's degree in the life sciences or relevant scientific experience is required. Should have Law degree with admission to practice in a US state. Must have 7-10 years of experience as an attorney, including transactional law experience in both a law firm and the legal department of a biopharmaceutical/biotechnology company. Associate Counsel, Contracts

Cambridge MA Associate Counsel, Contracts The candidate will be responsible to partner with firms existing contracts team to draft and negotiate a high volume of contracts for clinical, research, quality, manufacturing, commercial and other internal business partners, including clinical trial agreements, master services agreements, consulting agreements, research agreements, licensing agreements, confidentiality agreements and other business agreements. Act as a liaison between internal business partners, legal department, external vendors and outside counsel as necessary for contract drafting, negotiations, processes and inquiries. Master and seek to continue to improve the internal contracting process, including administering an integrated contracts management system and developing internal training materials related to the contracting process. Work in close collaboration with cross-functional teams and external vendors on contract maintenance, renewals and terminations. Ensure fully executed contracts are properly entered into the contracts management system and update information, as required. Actively help implement and manage contract and document management tools and other technology adopted by the legal department. Help develop and implement new policies, procedures and contract templates and provide education and training to internal clients. Work closely with members of finance and other departments to help ensure compliance with cross-functional policies, procedures and reporting. Develop reports, presentations, spreadsheets, memos and other documents for the legal department, internal clients and/or the senior management team. Complete special projects as requested, such as collaborating on department-wide or company-wide initiatives.

The candidate must have 5+ years of experience in the life sciences industry drafting and negotiating a variety of contracts. 3+ years of post-JD experience is preferred. Prior in-house experience as a member of a legal department in a biotechnology or pharmaceuticals company or drafting and negotiating clinical trial agreements in-house at a hospital organization is strongly preferred. Experience with licensing and negotiation of IP transactions is a plus. Exceptional contract drafting and negotiation skills are must. Strong experience with contract management systems, electronic signature systems and other legal software and systems is essential.
