Corporate Counsel Commercial Technology, Transactions and Privacy Team

Santa Clara CA Corporate Counsel Commercial Technology, Transactions and Privacy Team The candidate will draft, review and negotiate a wide variety of complex commercial, technology (including cloud and hybrid/SaaS models), intellectual property, channel, supply chain and vendor agreements that comply with the company s policies and risk tolerance. Respond promptly and effectively to legal requests from sales, business development, operations, senior management, marketing, corporate finance and other internal clients, and advise on recommended courses of action and legal risks. Manage outside counsel on related matters when required. Support continuous improvement of standard form agreements, policies and legal processes related to commercial transactions. Handle special projects as requested. Must be a lawyer qualified to practice in at least one U.S. state, preferably California, and have a law degree from a reputable law school. Should have 6-8+ years of strong commercial transaction experience with demonstrated success. Significant experience with SaaS is a plus. Familiarity with revenue recognition principles is required. Director, Privacy Counsel

Santa Monica CA Director, Privacy Counsel Responsibilities: Serve as the registered contact for the company with external data protection regulatory bodies in all relevant geographies where operates. Coordinate internally and respond to complaints and/or the exercise by the data subjects of their rights (e.g., request for information, clarifications, rectification or deletion of personal data). Lead data privacy and protection compliance efforts globally for the company. Monitor, audit, and advise on data protection efforts implemented by the company. Interface with data subjects on behalf of the company in compliance with regulations. Build a global privacy program in current and future company locations in compliance with applicable laws and in partnership with internal local department leads. Provide management reporting on privacy program compliance and areas of key risks. Educate and build data privacy and protection awareness with employee base and vendors in partnership with Information Security team. Maintain comprehensive records in partnership with input from Information Security team on current compliance and with prioritization of key privacy risks. Contribute as a subject matter expert on data privacy to support internal functions including HR function and customer and vendor agreements. Build and contribute to legal initiatives as required to meet department objectives. Collaborate with key internal stakeholders including finance, HR, client services, and marketing. Establish and manage key external relationships with law firms. Perform other duties and tasks that may be assigned that will further the interest of data privacy and security and uphold the rights of the data subject.

Requirements: IACCM certification or prior contract risk management experience CIPM, CIPP/US or CIPP/EU certification/s. 8 years at a law firm, consulting firm, or in-house at a hypergrowth company with operations ideally in the US, Asia and Europe managing data protection and security efforts. Combined 5 years of leading negotiations of data protection and security provisions in key customer or vendor agreements, technology agreements, alliance agreements, non-disclosure agreements, and service level agreements. Project Management experience, with ability to maintain the objectives while honoring designated constraints. Strong work ethic and organizational skills. Highly analytical (with both words and numbers). Strong communicator with excellent interpersonal skills. Strong initiative to identify risks and pursue risk mitigation. San Francisco CA Privacy and Data Security Counsel Responsibilities: Counsel business partners on domestic and international data privacy and security laws, regulations, and industry best practices, particularly related to software and cloud services. Act as subject matter expert and resource on issues related to privacy, security and data protection. Partner with members of the legal team, security team, data governance operations, and outside counsel to help ensure Autodesk s compliance with laws, regulations, and customer contracts. Assist in developing and maintaining Autodesk s privacy program, and related policies, procedures, documentation, and communication materials. Assist in developing training materials, and providing training to employees on privacy and security related obligations. Provide guidance to legal and product management teams on issues pertaining to new and existing products/features throughout the entire development lifecycle. Draft and negotiate data protection terms in contracts and disclosures, including Data Protection Addendum, Privacy Policies and Terms of Service. Review issues related to analytics and big data collection, use and governance. Conduct due diligence and review privacy and data protection issues related to acquisition and integration activity. Review issues related to Incident Response, customer security questionnaires and security certifications. Review data protection impact assessments and other internal privacy and data security assessments. Respond to communications from Autodesk s customers and employees regarding their individual rights, and Autodesk s processing of their personal data. Collaborate with data governance and business teams to create records of processing.

Qualifications: Law degree and CIPP certification. 8+ years of relevant work experience in the area of data privacy, security and data governance. Law firm experience. Expertise in global data protection law, including knowledge of the GDPR and national data protection laws. Experience with technology, cloud services, marketing and analytics laws and regulations. Experience working with product teams on PIAs and Privacy by Design. Excellent negotiation skills, with the ability and confidence to represent Autodesk in the area of data privacy and security. Ability to work and lead under pressure unruffled, exhibiting timely and quality decision making. Exceptional written, oral and interpersonal communication skills, capable of quickly gaining the respect of and interacting comfortably with and successfully collaborating with and influencing senior leaders.
