Associate General Counsel Duties: Work with the General Counsel and team leaders from the Company s different disciplines, including contract administration and sales. Focus will be on: drafting, review and revision of commercial contracts; research relating to construction, zoning/local regulation of property, and insurance; and, interacting with outside counsel handling litigation and real estate transactions. Assist General Counsel in a wide variety of corporate transactional work, including: prime and subcontractor construction contracts, real estate purchase and sales, licensing agreements, and intercompany transactions. Prepare and negotiate agreements and other documents to support business transactions and the development and/or utilization of intellectual assets. Identify risks and propose alternative structures to mitigate risks involved in transactions and contracts. Responsible for contract drafting, review and revision. Support enterprise risk management, including preparation and maintenance of company policies and procedures. Assist with the maintenance of corporate licenses and records.. Provide legal advice and support to the finance department on a wide variety of transactional and statutory compliance issues. Provide counsel, on an on-going basis, to business personnel in connection with the day-to-day operation of the company s business. Assist with litigation management (both corporate and claims related). Other duties as assigned by General Counsel. Qualifications: JD Degree from an accredited law school. Member of the Florida Bar. 6-8 years of experience at a law firm or as in-house counsel. Experience within the real estate, development, and/or construction industry preferred. Experience preparing and reviewing legal documents. Proactive, with keen attention to detail. Able to multitask, set and meet deadlines, and organize projects. Proficiency using Microsoft Office, including Excel and Adobe Acrobat products. Excellent verbal & written skills, with the ability to work well with others as well as independently.
