Associate General Counsel, Corporate Finance & Restructuring

Associate General Counsel, Corporate Finance & Restructuring DUTIES: Report to the Vice President, Deputy General Counsel & Corporate Secretary and will be based in corporate headquarters. Will act as the primary legal business partner to the Treasury Department and provide primary legal support to the Treasury Department on financing transactions, credit agreements, securitization programs, commercial paper programs and public offerings and private placements of debt, swaps, share repurchase programs and other Treasury-related matters on a global basis in all regions where operates. Will also work with the Treasury Department to execute inter-company debt and equity transactions. Will provide legal support on internal restructuring transactions designed to simplify and rationalize legal operating structure. Will be responsible for creating best practices and processes to be used in Treasury and restructuring transactions. Will also be responsible for retaining and supervising outside counsel in all regions. Will be responsible for providing guidance regarding risk management in finance and restructuring transactions. Will assist in SEC filings relating to finance transactions to ensure compliant disclosures of such transactions.

Qualifications: JD Degree, or international equivalent. Must be licensed, in good standing, in at least one jurisdiction, and able to obtain Authorized House Counsel certification from the Florida Bar Association. 6+ years of relevant experience as a finance attorney obtained in a major law firm and through in-house positions of increasing scope and responsibilities. Experience leading and executing corporate finance transactions. Some experience in M&A and complex corporate transactions. Strong business acumen with a commercial business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk. Strong interpersonal skills with the ability to stand firm on issues with business clients when necessary. Demonstrated ability and commitment to work in a changing, fast-paced and energetic environment, ability to meet short-and long-term deadlines. Hands-on, energetic and motivated self-starter. Excellent communications and negotiation skills. Ability to work with others in a team environment. Extensive financing experience both nationally and internationally obtained in a major law firm combined with in-house experience in a global public company, bank or other financial institution. A strong foundation in international transactions and corporate, M&A and securities law matters is also required.
