Contracts Counsel Reporting to the General Counsel, the candidate will be responsible for drafting, negotiating, advising on and finalizing commercial agreements with clients, vendors and partners of the company. Review, draft and negotiate various standard and non-standard contracts and related documents in support of business needs and initiatives, including but not limited to sales agreements (SOW s, Master Services Agreement and SaaS agreements), NDA s, consulting agreements, security requirements, business continuity plans, vendor agreements, software licensing, referral and partnership agreements and commercial leases. Develop and administer policies and procedures to ensure efficient management and oversight of the contract processes. Work with business leaders as appropriate to prioritize pending contract requests and to maintain internal service levels. Advise employees and management of legal, compliance, and risk management issues related to existing and contemplated commercial agreements and initiatives. Monitor legal, legislative and regulatory trends applicable to the business and coordinating with and training the business as needed. Develop and enhance contracting processes and programs to ensure compliance with internal policies, applicable law and regulations, as well as client expectations and commercial commitments. Contribute to the development and improvement of templates and approaches to contracting to streamline process and constantly improve efficiencies. J.D. from an accredited law school and active license to practice law required. 5-7 years corporate/transactional law experience required. Background in electronic discovery and/or digital forensics required. Strong commercial agreement drafting/negotiating skills and experience, including: working with complex forms of agreements including MSA, services agreements, license and distribution agreements, and reviewing/responding to RFPs; technology licensing both in-bound (technology to be integrated into a company s products, services or used in support of operations) and out-bound (licenses to third party end user and corporate clients for use and distribution of a company s software through a variety of distribution channels); addressing legal risk allocation issues that stem from commercial agreements, including indemnification, liability limitations, privacy, data protection, information security and intellectual property issues required. Outstanding presentation, written and oral communication and interpersonal skills as well as the ability to influence diverse groups of senior professionals required. A strong understanding of business challenges, a drive to develop sensible and commercially reasonable compromise positions, and a demonstrated capacity and willingness to make sound business/legal decisions required.
