Contracts Counsel The candidate will be responsible: for leading vendor contracting efforts for Legal Affairs (particularly as to major strategic partners), including providing proactive, easy to understand legal advice and guidance to the company on vendor contracting issues, and finding innovative solutions to vendor contracting; for understanding the business operations, needs and goals and becoming a partner to HMSA s governance areas and your assigned business areas. Major duties will include, among other things, partnering with the business areas as above, drafting and reviewing vendor contracts, and representing HMSA in negotiating contract issues with other parties. Develop an expert understanding of areas of law and internal governance area requirements impacting key business areas and keep business partners apprised of new laws and their implications. Assess situations with potential legal impact by taking a proactive approach to understanding business needs and advise key business leaders on effective strategic approaches to structure contracts while mitigating risk to the company. Ensure that communications take into account legal and business factors and are clear, easy to understand and actionable. Draft and negotiate vendor contracts of various complexities. Maintain trusting and respectful relationships with the business and be seen as a consultant on both legal and non-legal issues as they relate to vendor contracting concerns. Constantly look for ways to improve the efficiency of the vendor contracting process, while balancing the need to aid the business in achieving its strategic goals while mitigating risk to the company. Lead resolution of complex legal and business issues by bringing people together and taking leadership of the issue. Partner with other attorneys and paralegals in Legal Affairs on cross-functional matters and matters that require assistance. Engage in continuous improvement activities to improve your own performance. Engage with legal team to ensure we are working together as a high performance team. Participate on projects outside Legal Affairs to broaden perspective of company and help company achieve enterprise goals. Juris Doctor (JD) degree from an accredited law school and 7+ years of broad-based legal experience in contracting or related law with a prominent law firm, company, or government required. License to practice law in Hawaii or must obtain license within one year of hire in order to continue employment required. Excellent written and verbal communication skills required. Proficient knowledge of Microsoft Office Suite required.
