Deputy General Counsel, Corporate Compliance The candidate will partner with other Corporate Compliance Group members and compliance stakeholders across the group to help develop, implement, communicate and maintain legal and compliance policies and procedures, including employee speak up and complaint handling procedures. Collaborate with other departments (e.g., Business Unit Compliance, Internal Audit, Security and Human Resources) to help manage the company-wide compliance and ethics helpline and web portal to ensure that concerns are being appropriately evaluated, investigated and resolved. Lead a team of investigators and conduct or oversee a broad spectrum of internal investigations. Help identify potential areas of compliance risk and vulnerability; develop and implement action plans for the resolution of problematic issues; and provide general guidance on how to avoid or address similar situations in the future. Assist with the company's internal processes for promoting an organizational culture of ethics and ensuring the company's compliance with laws, regulations, company policies and contracts. Perform other compliance program-related duties as needed. Provide legal counsel and support to one or more business units and/or the corporate headquarters. Counsel on a broad range of legal issues related to assigned area(s). Provide leadership in one or more legal specialties and disseminates information on trends and innovations within the specialty. Engage and direct outside counsel to undertake specific and complex work requiring the application of highly specialized legal knowledge. May oversee the completion of projects including planning; assigning, and monitoring; reviewing progress and accuracy of work; evaluating results, etc. Lead and provide guidance to legal staff including junior Attorneys, Paralegals, and administrative staff, as required. Consistent exercise of independent judgment and discretion in matters of significance. Regular, consistent and punctual attendance. Must be able to work nights and weekends, variable schedule(s) as necessary. Law Degree from an accredited US law school required. Top 20% of class preferred. Law review/journal experience preferred. 8+ years of experience as a lawyer in a white-collar criminal litigation or corporate investigations practice area and/or similar in-house or government experience with demonstrated knowledge and understanding of corporate internal investigation and government investigation processes and the required elements of effective compliance programs, as outlined in the US Federal Sentencing Guidelines required. In-house experience preferred. Demonstrated experience and knowledge of general investigative techniques and methods and in conducting in-depth investigative interviews, preparing written investigative reports, managing multiple cases or projects to timely resolution, and obtaining factual information through interviews and reviews of documents required. Experience with eDiscovery processes and managing document reviews required. Strong understanding of attorney-client privilege jurisprudence required. Experience with the preparation of presentations, slide decks and training materials required. Strong computer skills and proficiency with Microsoft Office, including Word, Outlook, PowerPoint and Excel required. Exposure to international compliance matters, including FCPA matters, a plus. Excellent writing and editing skills, including experience with drafting and editing substantial written work product preferred. Demonstrated: project management and organizational skills, including the ability to work independently on projects of high complexity with minimal supervision; ability to analyze facts and identify issues, collect data/evidence, establish facts, draw valid conclusions and prepare reports required. Strong verbal communication skills, interpersonal skills and relationship-building skills required.
