In-House Counsel/Solar PPA Contracts Attorney The candidate will perform contract generation, contract review, and negotiation in the company s fast-paced, dynamic environment. Responsible for negotiating Purchase Power Agreements (PPA s) with Electric Utility Companies, municipalities, as well as commercial/industrial companies throughout the United States in regards to the sale of electricity from our Utility Scale Solar Projects that we develop and build in all 50 U.S. states now. Responsible for generating complex MIPA type contracts for the purchase and sale of individual solar energy power plants to others, crafting Binding LOI s, NDA s, land leases, land lease amendments and any other types of sophisticated contracts as they pertain to our business. Negotiate confidential and custom Purchase Power Agreements with U.S. Electric Utility Co. s. Negotiate and Review Membership Interest Purchase and Sale Agreements (MIPA s). Secure Title Commitments on Projects Ranging from $50MM - $200MM. Full Understanding of Land Matters from ALTA Surveys to Environmental Reports and WD s. Craft Complex Private Placement Memorandums (PPM s) for Capital Raises. Set Up and Structure Complex Membership Interest Partnership Agreements. Assess and analyze avoided cost rate structures in the U.S. States, counties, and regions. Identify, manage and mitigate risks associated with Purchase Power Agreements . Track and report key metrics to improve effectiveness and efficiency in PPA Negotiations. Partner with clients to craft unique contracts for a win/win situation for both sides. Maintain quick and efficient communication with client stakeholders. Identify, resolve and document process roadblocks. Achieve and maintain industry knowledge and strategy expertise. Manage a large portfolio of client projects at any given time. Should be experienced in all aspects of contract law pertaining to membership interest agreements, NDA s, and limited partnership type agreements. Strong, documented contracts experience and negotiation skills required. Law Degree ( Focused on Contracts) required. Experience Negotiating PURPA Purchase Power Agreements (PPA's) required. Excellent: problem-solving ability; communication skills, both oral and written required. Ability: to work effectively individually and as part of a team; to adapt to a variety of duties, often challenging tasks required.
