Contracts Counsel Responsibilities : The candidate will provide legal counsel for the day-to-day contracting needs for various departments in the company including the drafting, review and negotiation of a variety of agreements with relative complexity. This position would also be expected to provide contract interpretation and counseling to various groups within the organization. Serve as the lead contracts counsel in the firm's Legal Department for one or more of firm s commercial product lines. Provide full-service contracting support to other internal functions, which may include Information Technology, Medical Affairs, Patient Engagement, Corporate Communications, Commercial Operations, Patient Services, Market Research, New Product Planning, or G&A, each as necessary to support the needs of the business; Evaluate potential contractual arrangements and draft, review and negotiate all agreements and other legal documents that are typical for a pharmaceutical or biotech company, including confidentiality, service and consulting agreements, licenses, distribution and payer discount agreements, supply agreements. Interpret key contractual provisions in light of legal or regulatory requirements and advise internal clients on the ramifications of certain provisions, such as termination rights, dispute resolution process, liability limitations, indemnification obligations and protection of intellectual property. Work closely with other attorneys in the Legal Department, including Commercial, Compliance, Research and Corporate attorneys, to carefully evaluate legal issues and mitigate risk related to proposed contractual arrangements. Frequently engage with functional leadership and clients in key customer group(s) on emerging contractual needs or potential contractual issues with minimal oversight and guidance from managing attorney. Assist with the development of processes and practices that standardize and streamline the contracting process, including with development of standard contract language to be used in contracts. Mentor/ advise contract specialists or paralegals in the Legal Department on the preparation, negotiation and execution of form agreements. Keep informed of new laws, regulations, and industry trends affecting the company. Ensure internal clients receive sound, practical and timely legal advice and support. Foster strong working relationships with internal clients, while balancing legal risks with legal necessities. Appropriately triage a workflow, setting appropriate priorities with clients and delivering results efficiently. Liaise with legal colleagues to facilitate collective input on emerging issues and continuity in advice; Support other in-house attorneys or projects as needed.

Requirements : The candidate should have a Juris Doctorate from an accredited law school with the license to practice law in Massachusetts (or as registered in-house counsel in Massachusetts). Strong written and oral communications skills. At least 4 years of experience with a law firm or as an in-house attorney counseling clients on the negotiation and drafting of agreements, including with significant experience in the biotech or pharmaceutical industry. Experience with FDA regulations, federal sunshine act and federal anti-kickback statute, including as such pertain to the evaluation of commercial contracts, and discount and service arrangements with payer and trade customers. Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions. Strong business and legal acumen, with the ability to identify and diagnose legal problems and articulate creative and practical solutions and alternatives. Preferred experience with overseeing the work product of contracts specialists or paralegals. Ability to draft concise and effective contractual documents. Ability to work independently or collaboratively with other Legal Department colleagues, as needed, on complex projects. Ability to independently interface with outside counsel, vendors, collaborators, all internal departments and all levels of management.
