Corporate / In-house Legal Counsel Responsibilities: Negotiating, writing and executing agreements and contracts on behalf of the company. Drafting and negotiating contracts and agreements for technology-related goods and services, including SaaS, telecom, consulting, software licensing and hardware purchase agreements, statements of work, change orders, amendments and NDAs. Addressing issues related to internet/digital, social media and e-commerce in new products and services. Offering counsel on a variety of legal issue. Provide business-focused IP solutions to all levels of management within the supported client group. Handle complex IP and technology transactions such as joint development agreements, patent sales and licensing, patent pool and standards agreements, university collaboration agreements, NDAs and other IP agreements. Responsibilities include agreement drafting, negotiation, and encumbrance review. Will perform infringement and evidence of use analysis and prepare, present and defend claim charts. Communicate IP strategy effectively at all levels within the organization and prevent loss of IP value by obtaining the best possible IP terms for in a wide range of transactions. Advise clients on legal risks in a compressed-timeline, business-critical deal environment. Advising executives within the company. Working alongside other departments within the company. Advising on contract status, legal risks, and the legal liabilities associated with different deals. Researching and anticipating unique legal issues that could impact the company. Reviewing advertising and marketing materials to ensure that they are in compliance with legal requirements. Providing training to the company on legal topics. Requirements: Must have a law degree from a recognized university. Must be admitted to a recognized Bar. Must have 5+ years of experience gained in large law firm and/or in-house with major firm. Strong corporate background, which must include experience in venture capital, mergers & acquisitions, debt and equity financings and securities transactions. Experience drafting and negotiating complex transactions, including software licensing as well as SaaS and other cloud-based agreements. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Strong negotiating skills with both legal and financial/commercial issues. Ability to establish and maintain strong relationships within the organization's legal department and across all businesses. Ability to work independently with little or no supervision.
