Corporate Counsel-Law & Regulation-General Counsel Strategic Partner: The candidate serves as a strategic business partner to senior leaders within AB. Collaborates and partners with the business teams and attends and actively participates in senior management meetings, understands the business and leverages legal knowledge to help grow the business, and anticipate/avoid legal risk and brand-threatening events. Applies knowledge of the complex insurance-related regulatory scheme, challenging competitive landscape and dynamic litigation and regulatory environments to help navigate, plan and build for continued business growth. Advises and collaborates with the senior management team and others on a wide array of matters such as those that relate to corporate governance, securities the Sarbanes-Oxley Act, compliance (including internal audit), anti-trust, privacy and procurement. Provides advice and counsel on strategic, highly complex and highly sensitive issues. Proactively counsels clients on emerging legal issues and risk. Advises and provides reports as necessary and appropriate, to the Board of Directors of the various legal entities for which the GC is accountable. Oversees management of litigation involving AB. Leader and Manager: The candidate manages the delivery of legal services to the operation ensuring that business receives high-quality, cost-effective, commercially sensitive and fully responsive legal services.Oversees and leads the day-to-day operations of segments of the practice group. This responsibility includes talent management and development, performance and compensation talent conversations, managing the group s budget, and ensuring collaboration with other Law Department practice groups. Leads a team of attorneys and paralegals in providing counsel and support to leadership on legal risk issues. Collaborates and partners with other officers within the Law Department on matters relating to Department-wide operations and administration, strategy, planning, coaching and development of talent, performance conversations and compensation planning, diversity, systems and data management and expenses.

The candidate should have Bachelor Degree. Should have JD Degree. Must have Achievement of Insurance/Financial services related professional designations such as the Chartered Property Casualty Underwriter or Chartered Life Underwriter designation is a plus. Knowledge of insurance company operations including product development (Substantive product knowledge), claims, pricing, underwriting, marketing, distribution/sales and claims are desired. Knowledge of group voluntary benefits a plus. Proven ability to establish, maintain and leverage favorable relationships with insurance financial services regulators, trade association members and leadership and industry representatives are needed. Advanced knowledge of the insurance financial services legislative and regulatory schemes as well as the regulatory and legislative environments (state and federal) in which those industries operate. General knowledge of ERISA, COBRA, electronic commerce, taxation of employee benefits, corporate governance principles, corporate legal compliance, corporate secretarial matters, insurance holding company requirements, antitrust compliance, intellectual property and privacy are preferred. Must be perceived as a person who can be trusted with confidences and will deal appropriately with them, consistent with ethical and other legal imperatives is required. A thought leader who will challenge inside attorneys, outside counsel, business clients and senior management in appropriate ways and in appropriate situations are needed. Leadership skills including the ability to set a strategic vision and goals for the AB Legal Team align the appropriate resources to support business needs, inspire and motivate lawyers and others to perform at high levels and delegate responsibility while holding oneself and others accountable for achieving results are desired. Ability to manage a budget effectively, including an aptitude and experience in leveraging data to ensure the efficient management of the litigation portfolio is plus. Demonstrate and foster a sense of urgency, strong commitment and accountability while making sound decisions and achieving goals.
