Corporate Counsel The candidate will provide legal advice and support to the company and its subsidiaries. Responsible for managing a broad range of corporate legal matters of the company, partner with business and legal colleagues to achieve the company s business objectives, and provide strategic and timely legal advice to the General Counsel and other senior management of the company. Responsible for and directly involved in complex business transactions and in negotiating critical contracts for the company. Draft and negotiate transactional documents dealing with acquisitions, financing and dispositions as well as confidentiality agreement and commercial contracts. Provide support for M&A transactions, including deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution. Assist in managing litigation and regulatory matters involving the company. Anticipates and guards against legal risks facing the company. Exhibit deep knowledge of the company s business and the relevant legal issues. Provide creative and practical legal advice and decision making acumen to achieve business objectives in compliance with applicable laws and in alignment with company s ethics and values. Demonstrate subject matter expertise in substantive legal areas, keep abreast of new developments and instill best practices. 5-10 years of corporate law experience required. Broad experience in corporate matters, including corporate governance, mergers and acquisitions, securities, corporate finance, real estate, environmental, employment, employee benefits and government regulation required. Exposure to or familiarity with the following areas of law: corporate organization and governance, limited liability company acts, commercial contracts, securities, stock or asset purchase agreements, joint ventures, international transactions, and foreign subsidiaries required. Experience dealing with a broad range of Federal and State regulatory agencies such as CFTC, OSHA, EPA, EEOC, OFAC, USDA and FSMA required. Superb oral and written communication skills required. Experience in the grain industry preferred, but not required.
