Senior Corporate Counsel The candidate will support all levels of a multi-national organization and is responsible for all aspects of managing complex commercial transactions, as well as supporting the General Counsel in the areas of mergers and acquisitions and SEC compliance issues, and assisting with corporate governance and corporate secretarial duties. Provide legal guidance and assist the Company's efforts on all corporate and strategic transactions, including acquisitions, dispositions, joint ventures, equity financings, debt financings, inter-company relationships, complex commercial agreements and other corporate activities, including the management of all transaction-related due diligence processes. Primarily responsible for reviewing, drafting and negotiating various complex commercial agreements, including master services agreements, supply agreements and license agreements. Analyze and interpret laws, statutes and regulations, and identify areas of compliance, as well as potential vulnerability and risk; partner with the appropriate business unit(s) and/or operations in order to develop and implement appropriate action plans. Anticipate and guard against legal risks facing the company. Assist in FDA and regulatory compliance matters. Assist with SEC compliance and reporting. Advice General Counsel on corporate governance matters and assist with Corporate secretarial duties including preparing for meetings of the Board of Directors. Assist Human Resources Group on a variety of employment issues, including employment agreements, severance packages, training and EEO-related matters. Assist with general litigation. Perform additional tasks as requested by the General Counsel and other corporate officers, and provide other legal advice and services as the legal needs of the organization arise. B.A. or B.S. from a 4-year college or university of recognized standing, chemistry degree preferred. J.D. from an ABA accredited, prominent, national law school required. 6-8 years of progressive experience in a recognized law firm or Corporate law department required. Admitted to practice law before a state bar required. Experience working with multinational companies and clients required. Strong negotiating and drafting skills required. Excellent communication and organizational skills with the ability to assume independent responsibility required.
