Senior Corporate Counsel, Public Sector The candidate will review, draft and negotiate nondisclosure agreements, teaming agreements, subcontractor agreements and SaaS agreements that meet the company s requirements under its policies including those for risk tolerance, while working collaboratively with the Federal and State and Local business team, including various executives. Will provide support on GSA Schedule contract. Understand government contract compliance issues and develop policies and procedures for implementation of Federal/State and Local legal, contractual and compliance requirements, including FISMA and FedRamp, gifts and gratuities, revolving door, and lobbying requirements. Stay up to date on relevant legal frameworks, including FARs and DFARs. Serve as subject matter expert for responses to requests for proposals (RFPs) and other types of government contract solicitations. Analyze new laws, regulations and contract trends for potential impact on business unit goals and objectives. Identify contractual risks and issues and suggest alternatives that lead to optimal solutions. Provide training regarding public sector matters, terms and conditions and other issues to the legal, finance and business teams. Liaise with finance, sales operations, support, security and other business units at all levels throughout the organization. Advise management on government contract requirements and procedures. Work collaboratively with other members of the contracts and legal team.

The candidate should have a JD degree from an accredited law school. Must have 7-10 years of experience in negotiating State, Local and Federal contracts involving software licensing, SaaS and professional services. Solid understanding of and experience working with FAR/DFARs and other agency supplements and agency regulations needed. Experience preparing and negotiating SaaS agreements and other technology related agreements essential. Familiarity with channel (distributors, resellers) and related practice issues preferred. Understanding of various US and EU data privacy laws and regulations desired. Familiarity with HIPAA and experience negotiating Business Associate Agreements plus. Strong contract and legal negotiation skills and a talent for non-confrontational, win-win negotiations needed. Excellent oral and written communication skills needed.
