Senior Attorney, Contracts The candidate will be responsible for providing legal counsel and advice on commercial contracts. Responsibilities include reviewing, negotiating, editing, and drafting contractual documents relating to all types of agreements, including but not limited to information technology contracts, contractor and consultant agreements, purchasing agreements, event planning contracts, administrative agreements, confidentiality agreements, other service agreements, intellectual property licenses, real estate agreements, and broker-dealer related agreements. Serve as a primary legal contact for commercial contracts. Facilitate contracts review process, including reviewing and drafting contracts, providing advice to business personnel, participating in contract negotiations and coordinating contract review by other attorneys. Routinely review and provide advice to business personnel and legal colleagues regarding complex contractual matters, including interpretation inquiries and disputes. Ensure maintenance of the internal Contracts Management database, including entry of new contract review requests, tracking status of contract reviews, and reporting as requested. Provide information and reporting related to contracts metrics for the Company and its affiliates. Lead projects within the General Corporate Unit as requested. Oversee outside counsel as needed. The candidate should have Juris Doctorate degree from ABA accredited law school and member in good standing of a State Bar Association. Must have 5 years of prior legal experience; 7-10 years contract law experience preferred; law firm experience preferred. Experience counseling and presenting to senior executives and experience reviewing IT contracts required. Strong knowledge of contract laws and regulations. Strong verbal, written, and presentation skills with a sound ability to articulate important legal concerns/principles to non-legal business units essential. Strong drafting skills and strong project management skills are must. Ability to manage an ever-demanding work load in a fast-paced work environment. Good working knowledge of Microsoft Office - Word, PowerPoint, Excel, and Outlook.
