In-House Counsel - Risk Management The candidate will assist in providing legal services for the Risk Management department. Duties will include but not limited to, reviewing and drafting contracts, reviewing and responding to interrogatories, negotiations, drafting business documents, and providing legal advice on business matters. Provide legal services for the Risk Management Department. Support risk management, sales and marketing, member and/or owner benefits, and business development teams by providing legal advice on insurance, indemnity, liability and other matters. Draft templates for use by outside counsel in handling of represented claims to reduce the overall costs for legal fees. Review indemnification and insurance portions of contracts including resort-level service agreements, resort and/or homeowner association (HOA) management agreements, member and/or owner benefit agreements, and acquisition and transaction agreements. Coordinate with and manages outside counsel, when utilized, including but not limited to review and approval of outside counsels invoices. Attend mediation, arbitration depositions and trials as required. Provide legal expertise to risk management team while managing multiple, moderately complex, and technical tasks. Offer preliminary advice on optimal claims handling and alerts risk management team to regulatory and other potential risks. Maintain awareness of legislative changes that may affect the company and its affiliates. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Complete all required Company training/compliance courses as assigned. The candidate must have a Master s degree or equivalent experience in related field. Should have a Juris Doctor degree from accredited law school. Must have 3+ years of experience in the legal in-house/law firm field. Membership in at least one state Bar is required. Must have the ability to develop complex contracts and determine appropriateness of potential legal actions, analyze legal problems and provide timely, efficient, and effective legal services and advice, identify, strategize, and respond to a broad range of issues related to the business and operations of the Company. Should display strong interpersonal skills with the ability to communicate throughout all levels of the organization, as well as, external parties. Must have the ability to apply experience and judgment to new types of agreements, issues, and situations. Computer proficiency in Microsoft Word, Excel and Outlook is required.
