Associate Tax Counsel

Associate Tax Counsel Duties: Developing creative solutions to complicated tax issues.Have exposure to gift, estate, and related tax planning strategies available to the owners and successors in interest of family-owned and closely-held businesses. Remain current in the areas described above. Develop, subject to departmental need and approval, expertise in at least one of the following areas of tax: US international (outbound), SALT, real estate, or farming. Develop rapport and strong working relationships with colleagues from both within and outside the organization, and across business functions. Generally exhibit a positive attitude and healthy sense of humor.

Requirements: Must have a Juris Doctor and be licensed to practice law in California (a JD Degree from an ABA accredited law school is highly preferred). 3+ years of post-graduate professional legal experience in a law firm or in-house counsel setting. 5+ years such experience are preferred. Excellent written and verbal communication skills. Ability to communicate effectively with other professionals in the legal department and business teams is required. Detail oriented with excellent judgment and analytical skills. Must work well under pressure. Proficient in Microsoft Word, MS Outlook, Excel and related software programs. Familiarity with legal research tools and databases, such as LexisNexis, Lexis Advanced, CEB and others. Must be willing to take on a wide variety of projects, and have a good attitude towards helping out other members of the legal department when needed. Must have good common sense, and a sense of humor a plus. Strong writing, tax research, and analytical skills. Have experience structuring and documenting tax planning for real estate transactions, including, tax-deferred exchanges, options, leases, and joint ventures. knowledge of mechanics of Subchapters K and S, as well as exposure to the application of the at-risk and passive activity loss rules.
