Corporate Counsel, Compliance The candidate will be responsible for championing and supporting the day-to-day compliance initiatives within firm and certain affiliated entities ( the Company ). Will be reporting to a Senior Counsel responsible for Compliance, Labor and Employment, is responsible for the day-to-day management of the Company s Compliance Program, including compliance and ethics policy development, risk assessment, third party oversight, training, compliance program monitoring and counseling, Code of Conduct investigations, and reporting to stakeholders. Providing excellent client service, accurate legal advice, and value-added counsel on issues including, application of the Code of Conduct, anti-bribery, conflicts of interests, gratuities, travel expenses, charitable donations/contributions, and business entertainment. Supports the Company's initiatives in promoting an organizational culture of ethics and ensuring the Company's compliance with laws, regulations, internal policies, guidelines and contracts as well as ensuring that the Company exercises due diligence and sound internal controls to operate with integrity and protect against legal and ethical risks. Acts as a primary resource for legal compliance counseling throughout the Company, ensuring compliance with all applicable laws, regulations, policies, contracts, and Company values. Identifies and assesses compliance risks and opportunities, then work collaboratively with all stakeholders to develop and implement appropriate mitigation strategies. Work closely with the Company s senior management, Human Resources department, and any other stakeholders to evaluate and respond to suspected compliance violations and to ensure consistent enforcement, disclosure, and remedial action protocols. Draft, implement, and update policies and procedures related to all Company compliance activities in North America. Works to maintain, implement, and manage all training on compliance-related subjects and hot-line processes. Conducts or assist in conducting Code of Conduct investigations by assessing claims of Code of Conduct violations, conducting interviews, gathering evidence, providing summary reports as requested, participating in key meetings, assisting with coordination of risk assessment and providing triage on investigation matters and provides related legal advice to the Company. Possessing the highest ethical standards, professionalism, and integrity. Recognizes when to escalate certain matters to the attention of Senior Counsel. Educates clients and stakeholders on compliance and legal matters, policies and procedures. Establishes and maintains relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues. Perform other tasks as assigned from time to time by Senior Counsel.

The candidate should have a Juris Doctor degree from an accredited law school. Must be admitted, in good standing, and licensed to practice in a U.S. jurisdiction with the ability to become licensed in Illinois within ninety days of employment. Should have 5+ years of substantive legal experience in any of the following areas: anti-bribery, white-collar crime, regulatory compliance, or corporate investigations with a reputable corporate legal department, regulatory agency, or nationally recognized law firm. Must preferably have experience in manufacturing, mining and/or consumer packaged goods industries.
