Senior Corporate Counsel The candidate provides in-house legal services for Liberty Latin America Ltd. Has oversight and visibility into financial reporting, corporate governance, M&A and corporate secretarial matters. Provide analysis and counsel on legal, policy and issues such as, financial offerings, financial structuring, compliance issues and business strategic planning. Legal guidance and advice on corporate finance and disclosure matters, including earnings releases, bond reports, quarterly and annual reports and securities offering materials. Assist with preparation of CD&A and director remuneration for Proxy Statement and other sections as required and research of SEC issues. Assist and support on internal corporate restructures; mergers, dissolutions and formations; shareholder and board actions and issues; prepare and review documents for loans, dispositions and acquisitions. Research US corporation laws, prepare minutes/resolutions for actions, and monitor compliance for entities within the group. Provide support and advice on commercial contracts. Includes drafting and negotiating all types of commercial contracts impacting the Denver executive office and working closely with attorneys across the group. Support and strategic guidance on M&A transactions in the region within a fast paced and dynamic team and will work alongside banking, corporate and commercial lawyers. Handle negotiations, review and drafting of related documents as well as provide analysis and counsel on all certain transactions. At all times to keep abreast of relevant legal developments and current developments within the business and in the legal and regulatory environment, in order to provide the highest quality of legal and commercial support. Should have 7-10 years of M&A, securities, capital markets or general corporate experience in private practice at well-known law firm or in industry. Securities and corporate finance experience/background is essential. Must have good understanding of the commercial, legal and political context in which the company and its subsidiaries operates. Fluency in written and spoken English and able to work on a day to day basis in English is required. Fluency in written and spoken Spanish is recommended. Demonstrated strong communication skills across cross-cultural boundaries and all levels of an organization is needed. Ability to comprehend and interpret policies, procedures, laws, regulations, and guidelines is essential. Should have experience working in a global matrix environment and partnering with groups such as finance, treasury, strategy, and HR.
