Senior Tax Counsel The candidate will be responsible for providing leadership, management, advice and counsel to firm and its subsidiaries on domestic and international tax matters. Will accomplishes these responsibilities through personal efforts, coordination with other staff (including both tax and non-tax personnel), and selective use and management of outside advisors. This position reports to the Chief Tax Counsel. Initiate, lead, develop, manage and implement tax planning and other matter-specific projects, including key enterprise matters, intercompany financings, and cross border structures, including coordination of treasury, financial accounting, legal and IT resources. Develop and utilize business knowledge about the Company and the industry to advise business managers and executives on supply chain, commercial and corporate development matters. Key member of a multi-disciplinary team providing tax guidance on global M&A and divestiture projects including development of tax efficient acquisition and disposition structures, contract review, and tax due diligence. Provide analysis, advice, counsel, presentations and opinions, both domestically and internationally, with respect to income tax and other tax matters (such as transactional tax planning, intercompany funding, transfer pricing, and tax compliance). Represent firm with respect to tax controversies and dispute resolution, including negotiation and management thereof. Stay current on and evaluate the implication of US and international tax law, including teaming with government affairs with respect to tax law changes. Understand tax financial reporting to be able to recognize and communicate impacts of tax planning. Develop and mentor other members of the tax department. Direct and evaluate tax research and opinions developed by both in house and third party service providers, including responsibility for implementation of any representations and plans. Review, negotiate and manage services contracts with outside CPA and law firms. Perform all activities in a safe manner and ensure the safe work practices of those supervised.

The candidate should have Juris Doctor degree. LLM degree in Taxation preferred. Must have 10+ years of legal experience, preferably including as a senior associate attorney in a major law firm and major corporation tax department. Accounting degree or background a plus. Must be Member of the Texas Bar (or willing to take the Bar). Must have extensive experience in dealing with international, cross border issues and various types of legal and business structures, including strong corporate and partnership knowledge. Experience in general domestic and/or international transactional tax matters, including acquisitions and divestitures is required. Excellent writing and presentation skills is required. Inbound tax and UK tax knowledge a plus. EU language, Chinese or Spanish a plus.
