Senior Contracts Attorney The candidate provides legal expertise and counsel for all company contracts activities. Provides support to General Counsel with respect to company s business and commercial relationships and transactional matters, including negotiating agreements, and preparing transaction documents. Review, draft and negotiate contracts relating to the company s business and commercial relationships, such as CDAs, master services agreements, distribution agreements, lease and sublease agreements, manufacturing and supply agreements, OEM agreements, clinical trial agreements, marketing agreements, consulting agreements, and the like; analyzes and provides advice with respect to interpretation of existing agreements or arrangements. Provide legal advice to internal teams on contract matters, including transaction structuring, contract interpretation and enforcement, risk assessment, legal and regulatory compliance and corporate policies. Coordinate and assist in developing policies, procedures and systems to support and facilitate efficient contract development and analysis. Monitor the legal environment and trends concerning the contracts areas. Manage outside legal counsel with regard to contract matters. Must have JD degree from ABA accredited law school Current membership in the California Bar or qualified for in-house practice of law in California through licensure and good standing within another state. Should have 5 years of progressively responsible experience including significant experience reviewing, drafting and negotiating contracts. Corporate contract and service agreement experience is required. Biopharmaceutical industry experience is preferred. Knowledge of contract, commercial and general business laws and regulations is needed. Strong contract drafting and negotiation skills is must. Excellent communication (both verbal and written) and interpersonal skills is essential. Proficient in Microsoft Office (Word, Excel, PowerPoint, and Outlook) is essential.
