Corporate Counsel - Asset Management Attorney

Corporate Counsel - Asset Management Attorney The candidate will be working with client service and sales teams globally to assist in distributor on-boarding, including negotiation of sub-distribution agreements and related documentation. Counseling client service and sales teams regarding cross-boarder sales issues. Interpreting, analyzing, and providing guidance on applicable law, regulations and major regulatory reforms. Working with fund administration and compliance teams, dealing with day-to-day queries regarding maintenance of the funds, and legal and regulatory issues arising in respect to service providers (administrator, depositary, transfer agent) to the funds. Updating and maintaining fund offering documentation (prospectuses, offering memoranda, KIIDS) and assist with corporate and regulatory governance of the funds. Assisting in the development and launch of new fund products (both registered and unregistered), including the preparation of offering materials. Advising on the ongoing regulatory issues surrounding Lord firm's offices in the UK and Ireland. Counseling client service and sales teams regarding cross-border issues and applicable local law. Drafting and negotiating investment management agreements and related documentation. Advising on ongoing client service queries related to institutional accounts The candidate must have excellent academic background, including a Juris Doctor degree from a well-respected law school. Should have 8 years of relevant experience as an attorney. Law firm experience is required. In-house experience is preferred. Experience in a combination (but not necessarily all) of the following areas is needed: UCITS funds, with particular knowledge of the cross-border distribution of UCITS funds; Distribution regulation and practices; Offshore funds and private pooled investment vehicles; Commercial contracts with distributors, intermediaries or other agents; Institutional investment management agreements. Ability to handle multiple tasks, take on new responsibilities and prioritize work in a deadline-intensive environment is must. Excellent communications skills, including the ability to distill and explain technical and/or complex matters to non-lawyers is preferred.
