Commercial Contracts Attorney The candidate will provides general commercial legal support to the senior management of the procurement and supply chain functions within Firm. Will assisting those functions as they transact complex and high-dollar value business deals with national and multi-national suppliers of a wide variety of goods and services. Responsible for understanding business goals; structuring deals to meet those goals while adhering to Firm s company policies; conceiving and drafting contracts reflecting agreed-to deal structures. Negotiating those contracts to execution against senior attorneys and management representing suppliers; and counseling on the enforcement of contract claims for and against Firm. Learns the overall business in detail and becomes embedded in the procurement and supply chain functions as a trusted partner who learns to speak their language. Collaborates with those functions to understand short and long-term transactional goals pertaining to Firm s many suppliers. Advises with respect to deal structures to optimize benefit and minimize risk. Drafts contracts of varying complexity, including contracts for which no templates exist and that require significant creativity, and drives those contracts to closure with high energy and enthusiasm against experienced senior attorneys representing the suppliers. As required, reviews contracts submitted by suppliers, modifies those contracts, and drives those contracts to closure. Provides extensive counseling regarding enforcement of contract claims against suppliers and contract interpretation advice with respect to claims made against Firm. The candidate should have JD degree from an accredited law school. During employment, must meet requirements for continuing licensure for law practice. Must have 5+ years of experience, either in-house or with a law firm, and in either case, preferably representing technology businesses selling goods and services to other businesses (B2B). Must have excellent contract drafting and negotiating skills with respect to commercial contracts; understands the UCC and contract law a high level; excellent analytical skills and attention to detail. Very strong communication skills (oral and written) and strong interpersonal skill is essential. Prior experience with procurement or supply chain clients is a plus.
