Corporate Counsel The candidate will implement a continuing program of legal services, including legal and strategic advice and counsel, in one or more specialty areas and focus on Labor and Employment. Will serve on or assist the Legal Services Group in developing legal products and/or performing legal services for the firm Healthcare System as a whole. Provide direct legal support services in connection with Labor and Employment specialty. Specialty services may be in support of the firm System as a whole or designated firm national entity(ties), group(s) or service line(s), as well as firm market based organizations (MBOs). Depending on the specialty, legal support services may include preparation, review, and revision of contracts and agreements; development of specialty-specific policies, protocols, and guidelines; preparation, review, and revision of corporate documents (e.g., articles of incorporation and bylaws); assistance with internal firm approval (Governance Matrix) process; preparation, review and revision of state or federal notices, reports, and filings; conduct of, participation in or oversight of internal or government reviews and investigations; assistance with due diligence efforts; assistance with transition of new entities into the Firm System (specific to the assigned specialty); and preparation, review, and revision of other documents with legal implications. Provide legal advice and counsel to firm national staff, FIRM national leadership, LSG team members and, as appropriate, MBO leadership with respect to assigned area(s) of specialty legal expertise. When providing advice to MBOs, close collaboration between specialty counsel and MBO counsel is expected. Provide education on assigned specialty specific area(s), as and when needed or requested. Evaluate and furnish legal strategic advice and participate in strategic development of assigned specialty area(s) through attendance at appropriate board and management meetings, as well as firm national group(s) and service line(s) meetings, by invitation. Manage and evaluate outside legal counsel on matters referred by the LSG to such outside counsel. Participate, as requested in firm Resource Groups, Task Forces, and/or Solution Teams. Perform other duties as assigned by managing attorney or other firm LSG senior team members. The candidate should have JD degree or L.L.B. awarded by an ABA accredited law school. License to practice in one or more states is essential. Must have 5+ years experience as legal counsel in the healthcare industry relating to clinical legal issues either in private legal practice or as an in-house counsel to a hospital health system. Provide professional responsibilities in a manner consistent with the philosophy, mission, and values of firm is essential. Must have excellent oral and written communication skills.
