Corporate Counsel The candidate will provide legal counsel and opinions to ECU s General Counsel and management, Senior Management and Board as required. Analyze issues in light of state or federal legal requirements. Provide opinions to management in the context of business objectives. Provide legal support to Asset Recovery collection efforts. Work with Asset Recovery Staff, paralegals, and outside counsel to ensure legal action is timely, appropriate and cost effective. Provide supervision and oversight to paralegals. Provide legal support to other Asset Recovery functions, including, foreclosure and bankruptcy related actions, analysis of proceedings in which the institution is implicated, and analysis of positions the institution should take regarding such actions. Represent or assist outside counsel with the representation of the credit union in a variety of actions including civil suits, foreclosure litigation, bankruptcy actions, lease negotiations, and real estate transactions. Assist outside counsel in handling of corporate litigation, including oversight of document retrieval and initiation of internal litigation holds. Provide legal support to ECU branches and member service personnel. Review Powers of Attorney, court orders, trust documents, and other documents relating to member accounts. Assist with revisions to member account agreements and other forms. Review subpoenas and government agency requests for compliance with state and federal financial privacy regulations. Provide legal support to ECU s lending departments. Provide analysis and opinions relative to ECU s lien positions, proper attachment and perfection of liens, and other commercial law issues. Ensure ECU s compliance with UCC and other state laws governing creditor practices. Review loan documents, forms, and procedures. Other duties as assigned by the General Counsel and Assistant General Counsel. Must have 6+ years of Legal experience, preferably with exposure to financial institutions, litigation and/or collections. Should have knowledge of: State and federal laws governing creditor practices, including U.S. Bankruptcy Code; Financial Privacy Regulations; UCC; Trust and Estate laws; State or federal laws governing guardianship, conservators, power of attorney or other types of representative capacity; General real estate law; Federal and state regulations governing the operations of a federally insured, Tennessee state chartered credit union. Must be graduate of accredited law school and licensed member of Tennessee bar (or eligible for membership). Should have 6+ years of experience as a practicing attorney, preferably in the fields of consumer, commercial and financial law. Familiarity with the operations of a financial institution and applicable laws and regulations is essential.
