Associate Corporate Attorney Duties: Provide analysis and counsel on legal policy and environmental issues to propose new products, protect intellectual property, financial offerings and structuring, securities offerings, Employee Stock Ownership Program (ESOP) transactions, nondisclosure agreements, outsourcing agreements, mergers and acquisitions and business strategic planning. Oversee the Legal Department s role in the Company Supplier Qualification Process, including reviewing and negotiating procurement contracts and supplier insurance requirements. Provide legal counsel to the Company or its Officials in various legal proceedings on issues arising from actual or anticipated lawsuits as well as federal, state and local government inquiries. Anticipate and guard against legal risks facing the company. Develop and recommend company and operating policy, procedural improvements and position on legal issues. Conduct and coordinate research into a variety of legal issues and provide advice on day-to-day Company legal issues. Prepare legal pleadings, motions, discovery and stipulations. Write, review and edit reports, opinions, correspondence, articles and other documents.
Requirements: JD Degree from an American Bar Association (ABA) accredited law school and good standing member of state Bar (Illinois preferred). 2-4 years' experience in the foregoing functional areas at a law firm or prior in-house position, preferably with prior experience handling insurance disputes, mergers and acquisitions, litigation and/or intellectual property matters. Sound business judgment and strategic thinking ability with flexibility to work on a variety of projects simultaneously and under deadline pressures independently or as part of a team.
