Part-time Corporate Attorney The candidate will provide direct and indirect legal support for all legal and business needs for company. Will perform a number of legal support functions, including: reviewing, negotiating and drafting customer, vendor and other contracts/agreements; creating and driving compliance programs; selecting and managing relationships with and assignments to external counsel worldwide; liaising with intellectual property counsel; and general legal affairs. Report to the Corporate Vice President and Controller. Review, draft and negotiate contracts, including interaction with customers, vendors, internal business personnel and senior management. Assess legal risks and advise on mitigation strategies. Establish template agreements. Assist with problematic collections issues including filing of claims and repossession actions. Stay abreast of relevant laws and regulations and understand how they may affect legal compliance and business needs. Provide legal counsel in the area of domestic and international employment law, litigation and disputes in partnership with HR. Recognize and advise the company on potential conflicts of interest and other issues implicating ethics and compliance. Maintain and oversee implementation of the Company Code of Business Ethics and Conduct. Provide guidance for the following key compliance risk areas: Data privacy and anti-corruption/anti-bribery, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. Develop and/or lead in-person training sessions of various employee groups such as buyers, contract administrators, credit and collections analysts, sales representatives and management.
The candidate should have a degree from ABA-accredited law school and admitted to practice in Connecticut or eligible to register as Authorized House Counsel in Connecticut. Must have 6+ years of prior legal experience. Global experience with contracts, compliance and general legislation is required. Should have extensive experience in commercial contracts including drafting and negotiating, preferably in the context of a capital goods, service and/or software business context. Extensive experience in working directly with existing and potential customers in both cooperative and potentially adversarial scenarios is required. Working knowledge of intellectual property law including patents, trademarks, copyrights, software licensing and software as a service (SaaS) is essential. Should also have working knowledge of data security laws and regulations. Working knowledge of EU data privacy laws is a plus. Must have working knowledge of customs laws and regulations, primarily US. Note: The position is part-time (will consider 20 or 30 hours per week).
